John Wood Group PLC ("Wood" or the "Company")

Extension of temporary waivers and lender engagement

Further to the Company's announcement on 28 July 2025, where Wood announced progress on the Proposed Refinancing¹ and an extension to the date by which Dar Al-Handasah Consultants Shair and Partners Holdings Ltd is required either to announce a firm intention to make an offer for Wood or to announce that it does not intend to make an offer until 5.00pm on 25 August 2025², Wood has now agreed extensions to the temporary waivers under its committed debt facilities (initially valid through to 30 April 2025, extended to 30 June 2025 and further extended to 31 July 2025) to 31 August 2025.
