Completion of sale of joint venture interest in RWG to Siemens Energy Global
Further to the Company's announcements on 25 July 2025 and 3 November 2025, the board of Wood is pleased to announce that its wholly-owned subsidiary, JWG Investments Limited ("JWG"), has completed the sale of its 50 per cent. interest in RWG (Repair & Overhauls) Limited ("RWG") to Siemens Energy Global GmbH & Co. KG ("Siemens Energy Global"), as described in the announcement on 25 July 2025, for a cash consideration of $151 million, subject to customary closing adjustments and transaction costs. The sale completed on 31 December 2025.

Wood announced on 4 December 2025 that the A&E Effective Date had occurred and accordingly the Company had access to the $250 million Sidara Interim Funding and the $200 million New Money Facility (the "A&E Effective Date", "Sidara Interim Funding" and "New Money Facility" each having the meanings given in the Scheme Document).
Wood announced on 10 December 2025 that it had agreed to sell its United Kingdom Transmission & Distribution engineering business to UI Telecoms & Power Holdco Limited for a cash consideration of £57.5 million (the "UK T&D Transaction"). Wood announced completion of the UK T&D Transaction on 30 December 2025.
Other than the disclosures above in respect of the A&E Effective Date and the UK T&D Transaction, Wood confirms that for the purposes of UK Listing Rule 7.3.3, there has been no material change affecting any matter contained in the Company's announcements on 25 July 2025 and 3 November 2025.
