April 2000 – Die Weichen für den weiteren starken Wachstumskurs der Senator Film AG sind gestellt. Senator erwirbt eine Beteiligung von 25% plus 1 Aktie an der CinemaxX AG, Hamburg. Senator geht mit der Beteiligung eine strategische Partnerschaft mit dem deutschen Multiplex-Marktführer ein. Durch Pool- und Stimmbindungsverträge sichert sich Senator gemeinsam mit den Pool- Partnern einen maßgeblichen Einfluss auf die CinemaxX AG. Bei den Pool-Partnern handelt es sich um den Vorstand der CinemaxX AG, Herrn Hans-Joachim Flebbe sowie um die Kinepolis Group N.V. Die Kinepolis Gruppe ist der größte belgische Kinobetreiber und verfügt über Multiplex-Theater in den Benelux-Ländern, Frankreich und Spanien. Senator erwirbt Aktienpakete von den beiden Hauptaktionären, Familie Flebbe und der Kinepolis Group N.V. CinemaxX wird eine Kapitalerhöhung durchführen und in Verbindung damit erhält Senator Film zusätzlich von beiden Partnern die Bezugsrechte für die neu auszugebenen Aktien eingeräumt. Beschleunigte Expansion durch strategische Allianz Der Erwerb verschafft Senator eine einzigartige Positionierung im Markt mit Zugriff auf rund 50 Mio. europäischer Kinokunden. Senator wird so zum attraktivsten deutschen Kooperationspartner für Produzenten, Regisseure und Schauspieler im In- und Ausland. Entscheidend ist hierfür, dass SENATOR als einzige deutsche Entertainment-Gesellschaft direkten Zugriff auf die entscheidende Verwertungsstufe, die Auswertung von Spielfilmen in Multiplex-Kinos, hat. Senator will acquire a stake of 25% plus 1 share of CinemaxX AG, Hamburg. With this investment, Senator is entering in to a strategic partnership with the German multiplex market leader. Through share pooling and voting commitment contracts. Senator will secure a substantial influence over CinemaxX AG, for itself together with pool partners CinemaxX AG board chairman Hans- Joachim Flebbe as well as Kinepolis Group N.V. The Kinepolis Group is the largest Belgian cinema operator, with multiplex theaters in the Benelux countries, France and Spain. Senator is acquiring blocks of shares from both major shareholders, Family Flebbe and Kinepolis Group N.V. CinemaxX will carry out a capital increase, during which Senator will additionally be granted the subscription rights of both partners for the newly issued shares. Accelerated expansion through strategic alliance The acquisition will give Senator a unique market position with access to nearly 50 million European cinema customers. Senator will thus become the most attractive German cooperation partner for producers, directors and actors in Germany and abroad. Most decisive for this is that Senator is the only German entertainment company with direct access to the most critical stage of exploitation, the exhibition of feature films in multiplex cinemas. The investment will also make it possible for Senator to directly enter Europe’s fast-growing cinema markets, in which CinemaxX is already present with several venues, and wiil acccelerate Senator’s entry into European film distribution and license trading business.
