Caracal Gold Plc (LSE: GCAT), Caracal Gold Plc, the East African focused gold company is pleased to provide the following update on its financing arrangements.
On 3 July 2025, the Company announced that it had secured interim funding of US$1,000,000 through a Convertible Loan Note facility ("CLNs") from a group of lenders comprising existing German-based financiers and Gathoni Muchai Investments ("GMI").
The Company today announces that it has entered into an amendment agreement in respect of the CLNs. Pursuant to the amendment, the Company was required to complete its re-listing on the London Stock Exchange by 30 September 2025. Despite significant progress being made by the Company's new Board of Directors and executive management with its recapitalisation plans and its Prospectus, this date has now been extended to 30 November 2025 in agreement with the lenders to the CLNs.
The Company confirms that further to the announcement of 1 September 2025, it has commenced drawings of the remaining balance of the CLNs, with the balance of these funds to meet creditor payments due in Kenya and to fund costs associated with completion of the Company's Prospectus in the United Kingdom. The Company has to date drawn over 50% of the total amount available under the CLNs of the facility.
