Exercise of Warrants
capAI plc (LSE: CPAI) announces that it has received notices of exercise of warrants (" Warrants ") to subscribe for a total of 102,100,000 new ordinary shares of nominal value £0.00001 each in the capital of the Company (" New Ordinary Shares "). The total consideration paid to the Company in connection with the exercise of such Warrants is £ 70,162.50 .
The New Ordinary Shares will rank pari passu with the existing Ordinary Shares and application has been made for the New Ordinary Shares to be admitted to the equity shares (transition) category of the Official List of the Financial Conduct Authority (" FCA ") and to trading on the main market for listed securities of London Stock Exchange plc (" Admission "). It is expected that Admission will become effective and dealings in the New Ordinary Shares will commence at 8.00 a.m. on 9 September 2025.
Total Voting Rights
Upon Admission, the Company's issued share capital will consist of 3,733,930,636 Ordinary Shares with one voting right each. The Company does not hold any Ordinary Shares in treasury. Therefore, the total number of voting rights in the Company will be 3, 7 33,930,636 . With effect from Admission, this figure may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the FCA's Disclosure Guidance and Transparency Rules.
