Clarification Regarding Admission of Ordinary Shares
capAI plc (LSE: CPAI, OTCQB: CPIQF) (the "Company") refers to its announcements dated 7 May 2026 regarding the exercise of warrants and 5 August 2026 regarding the Company's £280,000 fundraise (the "Fundraise").
Following a review of the Company's admission arrangements, it was noted that the admission to trading of the 5,290,000 Ordinary Shares issued pursuant to the exercise of warrants announced on 7 May 2026 (the "Warrant Shares") had not been completed at that time.
The Company has therefore included the Warrant Shares within its current application for admission to trading on the Main Market of the London Stock Exchange alongside the shares issued pursuant to the Fundraise.
Accordingly, a total of 70,178,887 Ordinary Shares of £0.0001 each (the "Admission Shares") will be admitted to trading, with admission expected to become effective and dealings expected to commence at 8.00 a.m. on 10 August 2026, comprising:
· 62,222,221 new Ordinary Shares issued pursuant to the Fundraise;
· 2,666,666 new Ordinary Shares* issued to advisers in connection with the Fundraise; and
· 5,290,000 Ordinary Shares previously issued following the exercise of warrants.
For the avoidance of doubt, the Warrant Shares were issued on 7 May 2026 and do not represent a further issue of shares or any additional fundraising proceeds.
Following admission of the Admission Shares, the Company's issued share capital will comprise 491,321,950 Ordinary Shares. The Company does not hold any shares in treasury and, accordingly, the total number of voting rights in the Company will be 491,321,950.
All other details contained in the Company's announcement dated 5 August 2026 remain unchanged.
