Remarks:

1. The issued shares in the Company have been listed on The Stock Exchange 
of Hong Kong Limited since 13th March, 2000.

2. Basis of presentation

The Company was incorporated as an exempted company with limited liability 
in Bermuda on 18th September, 1997. The Company has not commenced any 
business and remained dormant since its incorporation until 26th February, 
2000.  On the even date, a reorganization took place in preparation for 
the listing of the shares of the Company on The Stock Exchange of Hong 
Kong Limited and the Company became the ultimate holding company of the 
Group.
 
The financial information of the Group set out in the interim results 
announcement has been prepared as if the current group structure has been 
in existence throughout the two periods referred to in the announcement.

3. Turnover

Turnover comprises sales at the invoiced value to customers outside the 
Group, after deducting sales returns and discounts, if any.

4. Basic earnings per share

The calculation of basic earnings per share is based on the Group's profit 
attributable to shareholders of HK$43,657,000  (1999: HK$38,220,000) and 
the weighted average of 324,395,604 shares (1999: 270,000,000 shares) in 
issue during the period taking into account the 90,000,000 shares issued 
on the public listing.  In determining the weighted average number of 
shares in issue, a total of 270,000,000 shares issued on incorporation of 
the Company and on the reorganization was deemed to have been in issue 
since 1st January, 1999.  There is no diluted earnings per share since the 
Company has no dilutive potential shares.

5. In 1999, an interim dividend of HK$40,000,000 was made by a 
wholly-owned subsidiary to its then shareholders prior to the Group's 
reorganisation as mentioned in the above Note 2.
