Sub-Division of Ordinary Shares
Tirupati Graphite plc (TGR.L), the specialist flake graphite company and supplier of the critical mineral for the global energy transition, announces the following further to the General Meeting of the Company ("GM") held on 6 January 2026.
At the GM, inter alia, a resolution was passed which approved the sub-division of each existing ordinary share of £0.025 into one new ordinary share of £0.01 (a "New Ordinary Share") and one deferred share of £0.015 (a "Deferred Share") (each such Deferred Share having no voting or dividend rights and effectively being worthless).
The New Ordinary Shares will become effective on 14 January 2026, however the Company's listing remains suspended. Further updates regarding, inter alia, the publication of the delayed annual report and accounts for the year ended 31 March 2025, together with delayed half year financial statements to 30 September 2025, the publication of an FCA- approved prospectus, and the lifting of the suspension will be made in due course.

The Group also holds two world class, natural graphite projects in Mozambique including the Montepuez graphite project, which is permitted for 100,000tpa production and where substantial construction work has already been undertaken, although the projects remain under force majeure at the present time.
