Grant of Restricted Share Award under The Weir Group Share Reward Plan. The vesting dates of the Award are 9 April 2021, being the second anniversary of the date of grant, in respect of 25% of the Restricted Share Award; 9 April 2022, being the third anniversary of the date of grant, in respect of 25% of the Restricted Share Award; 9 April 2023, being the fourth anniversary of the date of grant, in respect of 25% of the Restricted Share Award; and 9 April 2024, being the fifth anniversary of the date of grant, in respect of 25% of the Restricted Share Award.

Following vesting there is a requirement to retain the vested shares for a period of two additional years (three years in respect of the proportion which vests in 2021) during which the PDMR is not entitled to sell the shares or otherwise deal with them. The Award is not subject to performance conditions.
