On 1^st September 2014, Rolls-Royce Holdings plc (the Company) made a conditional award of ordinary shares at a price of 1025 pence per share to the following Person Discharging Managerial Responsibility (PDMR) under the terms of the Rolls-Royce plc Performance Share Plan (PSP). No amount is payable for the grant of an award.
