| Der Aufsichtsrat stellte fest, dass zur Sitzung ordnungsgemäß eingeladen, die Tagesordnung
allen Aufsichtsratsmitgliedern rechtzeitig zugesandt wurde und dass der Aufsichtsrat
beschlussfähig ist. Einwendungen hiergegen wurden nicht erhoben. Die der Sitzung vorliegende
Tagesordnung fand gleichfalls keine Einwendungen. Der Aufsichtsrat bestimmte Wolf
Selb zum Protokollführer. |
The supervisory board declared that participants were invited properly, the agenda
was sent to all supervisory board members in due time and the supervisory board has
a quorum. No objections were raised against this, nor against the agenda. The supervisory
board appointed Wolf Selb as the keeper of minutes. |

2. Vorlage und Vorstellung des Jahresabschlusses der Hays AG für das Geschäftsjahr
2014/2015 sowie des Ergebnisses der Prüfung durch Deloitte & Touche GmbH

2. Submission and presentation of the annual financial statements of Hays AG for the
fiscal year 2014/2015 as well as the results of the audit by Deloitte & Touche GmbH
|
| Volkart Giere (Deloitte & Touche GmbH Wirtschaftsprüfungsgesellschaft, Frankfurt)
erläuterte dem Aufsichtsrat die Ergebnisse der Prüfung des Jahresabschlusses 2014/2015
der Gesellschaft. Die Prüfung umfasste den Jahresabschluss und den Lagebericht der
Hays AG nach HGB sowie den Abhängigkeitsbericht gemäß § 312 AktG. |
Volkart Giere (Deloitte & Touche GmbH audit firm, Frankfurt) explained the results
of the audit of the annual financial statements 2014/2015 of the company to the supervisory
board. The audit included the annual financial statements and the annual report of
Hays AG according to the German commercial code (HGB) as well as the dependency report
according to sec. 312 of the German stock corporation act (AktG). |
| Die Prüfungsschwerpunkte waren neben der gesetzlichen Prüfung aufgrund §§ 316 ff.
HGB im Besonderen der Nachweis und die Bewertung der Forderungen aus Lieferungen und
Leistungen sowie die Vollständigkeit und Bewertung der Verbindlichkeiten und Rückstellungen. |
The main focus of the audit, besides the legal auditing according to sec. 316 et seqq.
HGB, were in particular the verification and valuation of the receivables from goods
and services as well as the completeness and valuation of the liabilities and accruals. |
| Als Ergebnis der Prüfung wurde festgestellt, dass keine Einwendungen bestehen außer,
dass im Anhang entgegen § 285 Nr. 9 lit. a) HGB die Gesamtbezüge des Vorstands nicht
angegeben sind. Somit wird der Gesellschaft im Einzelabschluss nach HGB der eingeschränkte
Bestätigungsvermerk erteilt. |
As a result of the audit it was ascertained that there were no objections with the
exception that the total compensation of the management board is not specified in
the appendix thus dissenting from sec. 285 No. 9 lit. a) HGB. Therefore, the limited
auditor's certificate is given to the company regarding its individual financial statements
according to HGB. |

There were no objections re. the audit of the dependency report. |

3. Billigung des Jahresabschlusses der Hays AG für das Geschäftsjahr 2014/2015

| Alistair Cox stellte fest, dass der Aufsichtsrat den Jahresabschluss geprüft hat und
aus Sicht des Aufsichtsrats keine Einwendungen gegen den Inhalt des Jahresabschlusses
zu erheben sind. Die von Deloitte & Touche GmbH vorgetragenen Einwendungen unter Nr.
2 werden zur Kenntnis genommen. |
Alistair Cox declared that the supervisory board reviewed the annual financial statements
and from its point of view there were no objections against the contents of the annual
financial statements. The objections raised by Deloitte & Touche GmbH pursuant to
No. 2 are noted. |
Beschluss:
Der Jahresabschluss der Hays AG nach HGB wird gebilligt. Er ist damit festgestellt. |
Resolution:
The annual financial statements of Hays AG according to HGB are approved and thus
confirmed. |

4. Unterstützung des Vorschlags des Vorstands über die Verwendung des Bilanzgewinns
der Hays AG im Geschäftsjahr 2014/2015

sheet profit of fiscal year 201412015 of Hays AG

| Der Bilanzgewinn der Hays AG für das Geschäftsjahr 2014/2015 beträgt € 60.390.750,80. |

| Der Vorstand bittet den Aufsichtsrat um Unterstützung des Vorschlags über die Verwendung
des Bilanzgewinns des Geschäftsjahres 2014/2015. Gemäß Vorschlag des Vorstands soll
der Gewinn auf neue Rechnung vorgetragen werden. |
The management board asks the supervisory board for support for the proposed appropriation
of the balance sheet profit of the fiscal year 2014/2015. According to the suggestion
of the management board, the profit is carried forward onto new account. |

Der Vorschlag des Vorstandes über die Verwendung des Bilanzgewinns im Geschäftsjahr
2014/2015 wird vom Aufsichtsrat unterstützt und der ordentlichen Hauptversammlung
zur Abstimmung vorgeschlagen. |
Resolution:
The suggestion of the management board regarding the use of the balance sheet profit
of the fiscal year 2014/2015 is supported by the supervisory board and is proposed
to the annual general meeting for decision. |

2015/2016 für die Hays AG

| Die Hauptversammlung hat die Deloitte & Touch GmbH zum Abschlussprüfer der Hays AG
für das Geschäftsjahr 2015/2016 gewählt. Die Erteilung des Prüfauftrags durch den
Aufsichtsrat steht noch aus. |
Deloitte & Touche GmbH was chosen as auditor of Hays AG for the fiscal year 2015/2016
by the general meeting. The engagement of the auditor by the supervisory board is
still pending. |
Beschluss:
Der Aufsichtsrat bittet den Vorstand, Verhandlungen mit Deloitte & Touch GmbH aufzunehmen,
um verbindliche Angebote betreffend der Abschlussprüfung für die Abschlüsse 2015/2016
der Hays AG einzuholen. |
Resolution:
The supervisory board asks the management board to start negotiations with Deloitte
in order to receive binding offers concerning the annual audit of Hays AG for the
financial statements 2015/2016. |

for doing business with independent contractors that they maintain a professional

Der Aufsichtsrat überlässt diese Entscheidung dem Vorstand. Die derzeitige Praxis,
wonach eine Berufshaftpflichtversicherung des Business Partners nicht Voraussetzung
für eine Zusammenarbeit ist, ist aus Sicht des Aufsichtsrats akzeptiert. |

The supervisory board leaves this decision to the management board. The current practise
that a professional liability insurance of the contractor is not a requirement for
doing business with him is therefore accepted from a supervisory board perspective. |

Business Partnern Voraussetzung für eine Zusammenarbeit sein sollte (vgl. auch Internal
Audit Review 2015, Ziff. 13). Die bestehende Quote liegt bei ca. 70%. |

Herr Nicholas Cox ist mit sofortiger Wirkung zum stellvertretenden Aufsichtsratsvorsitzenden
gewählt. |

| Der Aufsichtsrat strebt an, die nächste ordentliche Sitzung im Frühjahr 2016 durchzuführen.
Der genaue Termin und Ort wird rechtzeitig bekannt gegeben. Es besteht Einigkeit,
dass auch in 2016 nicht mehr als eine Aufsichtsratssitzung pro Kalenderhalbjahr stattfinden
muss (§ 11 Abs. 3 der Satzung). Der Aufsichtsrat schloss die Sitzung nach Erledigung
der Tagesordnungspunkte. |
The next supervisory board is envisaged for spring 2016. The precise date and location
will be communicated in due course. It is agreed that in 2016, as usual, not more
than one supervisory board meeting per calendar half-year will be necessary (§ 11
3. of the Articles of Association). The supervisory board closed the meeting alter
execution of the agenda points. |
