Introduction The Board of Directors of Alinma Bank is pleased to invite its esteemed shareholders to participate and vote in the 6th Extraordinary General Assembly Meeting, which includes an increase of the Bank’s capital (First Meeting), scheduled to be held, God willing, at 7:00 p.m. on Tuesday, 04/11/1447H, corresponding to 21/04/2026, via modern technology.

Methodology of Convening the General Assembly’s Meeting Via modern technology means
Attendance Eligibility, Registration Eligibility, and Voting End Shareholders registered in Alinma’s Shareholders Registry at the Securities Depository Centre Company (Edaa) at the end of the trading session preceding the Extraordinary General Assembly Meeting, in accordance with laws and regulations.

The right to attend the meeting ends upon its convening, and the right to vote on the agenda items for attending shareholders ends when the Counting Committee concludes the vote count. Quorum for Convening the General Assembly's Meeting As per Article (34) of the Bank’s Articles of Association, the quorum for holding the Extraordinary General Assembly Meeting shall be shareholders attending or participating via modern technology representing at least 50% of the shares with voting rights.

If such quorum is not reached at the first meeting, a second meeting may be held one hour after the end of the first meeting.

The second meeting shall be deemed valid if shareholders attending or participating via modern technology represent at least 25% of the shares with voting rights. Meeting Agenda Attached. Shareholders registered on the Tadawulaty electronic services website can vote remotely on the items of the Extraordinary General Assembly meeting through the (electronic voting). Details of the electronic voting on the Assembly’s agenda Shareholders registered in Tadawulaty services shall be able to vote remotely on the agenda items of the Extraordinary General Assembly, starting from 01:00 a.m. on Friday 17/04/2026 (corresponding to 29/10/1447H) and continuing until the end of the meeting.
