Introduction The Saudi National Bank (“SNB”) announces its intention to issue U.S. Dollar denominated additional tier 1 capital notes (the “Notes”) under its international U.S.$5,000,000,000 additional tier 1 capital note programme (the “Programme”) established on 20/06/1447H (corresponding to 11/12/2025G).

The offer is expected to be made by SNB directly by way of an offer to eligible investors in the Kingdom of Saudi Arabia and internationally (the “Proposed Offer”).

SNB has mandated Abu Dhabi Commercial Bank PJSC, First Abu Dhabi Bank PJSC, Crédit Agricole Corporate and Investment Bank, DBS Bank Ltd, Emirates NBD Bank P.J.S.C., Goldman Sachs International, HSBC Bank plc, Mashreqbank psc, SNB Capital Company and Standard Chartered Bank as Joint Lead Managers & Bookrunners in relation to the Proposed Offer. Offer Type U.S. dollar denominated additional tier 1 capital notes. Date of the board’s decision 2026-01-07 Corresponding to 1447-07-18 Value of the offer The amount and terms of the offer of the Notes will be determined at a later stage based on market conditions. The Purpose of the offer Improvement of Tier 1 Capital, general corporate purposes and to fulfill SNB’s financial and strategic objectives. Approvals The offer of the Notes will be subject to the approval of the relevant regulatory authorities, as applicable, and will be made in compliance with relevant laws and regulations.
