The meeting will be held virtually on Monday, February 24, 2025, at 18:30 from the Company headquarters in Dammam via the Tadawulaty e-voting system (www.tadawulaty.com.sa).

Methodology of Convening the General Assembly’s Meeting Via modern technology means
Attendance Eligibility, Registration Eligibility, and Voting End Attendance eligibility are for registered shareholders listed in the Company share register at the Depository Center by the end of the trading session prior to the assembly meeting, in accordance with the laws and regulations. The right to register to attend the general assembly meeting ends at the time of convening the assembly meeting. The attendees right to vote on the agenda items ends upon the Screening Committee issues its voting report.
Quorum for Convening the General Assembly's Meeting The quorum for holding the Ordinary General Assembly meeting is valid if shareholders representing at least 25 percent of the company’s paid-up capital are present. If the necessary quorum is not attained to hold this meeting, a second meeting will be held an hour after the end of the period specified for the first meeting. In all cases, the second meeting will be valid regardless of the number of shares represented therein.
General Assembly Meeting Agenda 1) Vote on electing Board members from among the candidates for the next term, commencing from 1 May 2025 duration (3) years ending on 30 April 2028. (candidates guide attached)

2) Vote on the appointment of the external auditors, as per the recommendation of the Audit Committee, to review and audit the company’s quarterly and annual accounts for the second and third quarters, and annual statements as end of December 31, 2025, and the first quarter as end of December 31, 2026, and agree to their service fee. Proxy Form The shareholder right in discussing the assembly agenda topics, asking questions, and exercising the voting right Shareholders who are registered in the company's shareholder registry at the Depository Center have the right to attend the general assembly meeting. They can attend the meeting at the end of the trading session preceding the assembly, as per the regulations and bylaws. The registration for attendance ends when the assembly begins. Shareholders' voting rights on the agenda items expire when the vote counting committee ends tallying the votes. Shareholders also have the right to discuss the agenda topics and ask their questions during the assembly. Details of the electronic voting on the Assembly’s agenda Eligible shareholders can cast their votes remotely via Tadawulaty electronic services. Voting will start at 1:00 a.m. on Thursday, February 20, 2025, until the adjournment of the meeting. The Company encourages its shareholders to actively participate and vote online by visiting the Tadawulaty website at www.tadawulaty.com.sa, a free service available to all shareholders.
