Introduction The Board of Directors of Umm Al-Qura Cement Company is pleased to invite the esteemed shareholders to participate and vote in the Ordinary General Assembly Meeting (First Meeting), which is scheduled to be held, God willing, via modern technology means at 8:30 p.m. on Thursday, 04-Dhu al-Hijjah-1447H, 21-May-2026G.

Methodology of Convening the General Assembly’s Meeting Via modern technology means
Attendance Eligibility, Registration Eligibility, and Voting End Shareholders who are registered in the issuers shareholders record at the Depositary Center by the end of the trade session prior to the general assembly meeting and in accordance with the laws and regulations. The shareholder has the right to delegate whomever other than the board of directors. The right to register a name to attend the general assembly meeting ends at the time of convening the general assembly meeting. The attendees right to vote on the items of the assembly’s agenda ends upon the end of screening the votes by the Screening Committee.
Quorum for Convening the General Assembly's Meeting The ordinary general assembly meeting will be valid if shareholders representing at least a quarter of the capital are present. If this quorum is not met in the first meeting, a second meeting will be held one hour after the specified time for the first meeting, and the second meeting shall be valid regardless of the number of shares represented.
General Assembly Meeting Agenda Ordinary General Assembly Meeting Agenda:

1-Review and discuss the Board of Directors’ report for the year ending on December 31, 2025.

2-Vote on and discuss the auditor’s report for the fiscal year ending on December 31, 2025.

3-Review and discuss the annual Financial Statements for the year ending on December 31, 2025.

4- Voting of discharging the members of the Board of Directors from liability for the fiscal year ended 31 December 2025.

5-Voting on the Board of Directors’ recommendation not to distribute dividends to shareholders for the financial year ending on December 31, 2025.

6-Vote on authorizing the Board of Directors to distribute interim dividends semi-annually or quarterly for the fiscal year 2026.

7-Vote on appointing the company’s auditor from among the candidates based on the recommendation of the Audit Committee, in order to examine, review and audit the financial statements for the second, third and annual quarters of the fiscal year 2026 AD, and the first quarter of the year 2027 AD, and determine their audit fees. Proxy Form The shareholder right in discussing the assembly agenda topics, asking questions, and exercising the voting right The right to register attendance for the assembly meeting ends at the start of the meeting. The right to vote on the association's agenda items for those present ends when the sorting committee finishes counting the votes. Shareholders present also have the right to discuss the topics listed on the agenda and ask questions.

Details of the electronic voting on the Assembly’s agenda Shareholders registered in Tadawulaty services may vote remotely and electronically on the items of the General Assembly’s agenda starting from 1:00 a.m. on Sunday, 30 Dhu al-Qi'dah1447H (corresponding to 17 May 2026G), until the end of the General Assembly meeting.
