Al Hammadi Company for Development and Investment is pleased to announce to its shareholders the opening of nomination for the Board of Directors membership for the next term starting on 22/06/2016G for three years. Therefore the shareholders who wish to nominate themselves for the Board of Directors membership and hold shares of at least SAR 10,000 nominal value (1,000 shares) can submit a nomination request to the company no later than end of business day Thursday 08/06/1437H corresponding to 17/03/2016G. The nomination request should fulfill the conditions required by the Ministry of Commerce and Industry circular No. (222/9362/3245) dated 18/06/1412H the Circular No. (222/205/3800) dated 26/12/1420H. And according to the Companies Law Corporate Governance and Listing regulations issued by the Capital Market Authority and the list of policies standards procedures for Board of Directors membership in the internal Corporate Governance Manual. The nomination application should comply with the following:
1. The nominee shall be at least 30 years old.
2. The nominee is preferred to possess sufficient knowledge on both financial and managerial aspects and be familiar with related rules regulations and legislation in addition to the Board of Directors rights and duties.
3. A resume of the nominee containing qualifications and working experience.
4. For the nominee whos previously been a member in any of the listed companies Board of Directors to provide a record with the number and dates of all attended Board meetings in addition to the permanent committees memberships and membership status.
5. A record of all listed companies which the nominee is currently serves as a member of the Board of Directors and permanent committees and membership status.
6. A record of companies or institutions in similar line of business which are managed and or managed by the nominee.
7. If the nominee has previously been a Board member in Al Hammadi Company then the nominee must attach a record from the Companys management with the nomination application includes the following information:a. Number of Board meetings during each year of the membership term and number of meetings he attended personally in comparison to the total number of meetings.b. Board of Directors Committees that he was a member of number of meeting held by each of those committees number of meetings he attended and percentage of attendance.c. Summary of financial results which were achieved by the company during each of the membership term years.
8. Fill out the Capital Market Authority form No. 3 as per the circular No. 4/2359 dated on 12/4/1431H which can be obtained via the companys fax email or the Capital Market Authority website using the following link: www.cma.org.sa
9. Attach with the nomination application clear and valid copy of the national identity or family card for individuals and the commercial registration for companies and institutions in addition to the contact numbers of the nominee.
10. The nominee shall not be a board member of more than 5 other listed companies simultaneously.
11. The nominee shall allocate sufficient time to carry out the functions and responsibilities that are dictated by his Board of Directors membership.
12. The nominee shall not be previously convicted in dishonor or dishonesty crime.
13. The Nominee shall not be previously prevented by the Capital Market Authority from participating as a Board of Directors member in any listed company.It is of note that the voting in the General Assembly will be limited to those who nominated themselves in accordance with above mentioned criteria and requirements and approved by relevant authorities.
