Update re. Proposed Sale of The PRS REIT Holding Company Limited
Satisfaction of Scottish Widows (SW) Change of Control Condition
The PRS REIT announces that consent to change of control within the Scottish Widows Facilities has been received and accordingly that the SW Change of Control Condition, as detailed in the Circular, has been satisfied.
As a result, the Sale of PRS HoldCo is conditional only upon the approval of Shareholders at the General Meeting to be held on 27 November 2025, with Completion expected on or around 11 December 2025.
If the Sale is approved by Shareholders and proceeds to Completion, it is the intention of the Board to seek Shareholder approval for the voluntary liquidation of the Company with a view to distributing the Company's net assets to Shareholders in accordance with the timetable set out in the Circular.
