| Introduction | Nayifat Finance Co. announces the opening of the Nominations for the board membership for the upcoming Session, for three years commencing from September 25, 2025 to September 24, 2028. |
In light of this, Candidates who wish to nominate themselves for board membership, who meet the conditions and criteria for membership, must submit their nomination applications during the specified period in accordance with the details provided in this announcement. It is noted that nominations will be made in accordance with the regulations, rules, and instructions issued by the relevant regulatory authorities and the articles of association of Nayifat, in addition to the Nayifat policy for board of directors membership (attached).
Every candidate for membership in the Board of Directors or any of the committees must attach all the required documents with the nomination application:
1- Fill out the nomination form for membership (attached), provide the required disclosures according to this form, and attach a clear and valid copy of the national ID/Iqama and a copy of the family register (if available), along with a CV and academic qualifications, general work experience, particularly in the field of finance, contact information, a copy of the passport, and a recent colored personal photo.
2- Completely fill out the Fit and Proper form issued by the Saudi Central Bank (attached), sign every page, and submit a copy in (PDF) format and a copy in (Word) format that matches the signed version. 3- Fill out the CV form (3) issued by the Capital Market Authority completely in Arabic and English (attached), and submit a signed copy in (PDF) format and a copy in (Word) format that matches the signed version. When filling out the form, it is necessary to clarify the type of membership, whether the candidate is nominated as an independent member, a non-executive member, or an executive member. It is also essential to clarify the nature of the membership, whether the candidate is nominated as a shareholder or appointed by a shareholder with appointment rights under the company's Articles of Association, in which case the shareholder's name must be mentioned, or if they are nominated by one of the company's shareholders with their name provided. 4- Fill out the Independence assessment form and sign it. (Attached)
5- Fill out CV form (1) in both Arabic and English. (Attached)
6- Fill out and sign the Saudi Tadawul Company form (3). (Attached)
7- Any additional forms, requirements, or documents as specified by the regulatory or supervisory authorities or the company.
Please note that the members nominated for the Board of Directors will be elected during the company's general assembly meeting, the date of which will be announced later after obtaining the necessary approvals from the relevant authorities.
