Applications Submission MethodThe applications of nominees for the board’s membership will be examined by the company’s Nominations and Remunerations Committee, and personal interviews for those who are initially selected will be arranged, and a report to the Company’s next ordinary general assembly will be presented, the date of which will be announced later.

For more information, please call 0114350000 ext.333Application RequirementsThe application should comply with the regulations of the Ministry of Commerce and Investment, the Listing and Registration Rules and the Corporate Governance Regulation issued by the Capital Market Authority; the application for nomination should include the following:

1. The Candidate is of a Saudi nationality.

2. The Candidate has to fill and sign the nomination application attached to this announcement and addressed to the chairman and members of the Nominations and Remuneration Committee of the company.

3. The Candidate has to fill and sign Forms No. 1 and No. 3 issued by the Capital Market Authority and attach them to the nomination application.

4. The Candidate’s curriculum Vitae declaring his qualifications and experience in the company’s field of business.

5. That the Candidate attaches a clear and valid copy of the national identity for individuals, as well as the family registry (for a married person), passport, or the commercial registry for companies and institutions, and the contact numbers of the candidate, including phone, fax and e-mail, to the nomination application and the forms.

6. A statement of the number and dates of the boards directors of the companies or institutions that he has been part of its membership.

7. A statement of the joint-stock companies whose membership he still holds, and the expiry dates of these memberships, given that these memberships do not exceed four.

8. A statement of the companies or institutions that he participates in the management or ownership of and exercises similar activities to the company’s.

9. That the Candidate has sufficient experience in the companies’ business.

10. That the Candidate has knowledge of the Companies Law, relevant rules, regulations and circulars.

11. That the Candidate has the ability to read and analyze balance sheets and has knowledge of accounts and finances.

12. That the Candidate has the incentive and time to contribute to directing the company’s business and policies.

13. That the Candidate is independent in his thoughts and is courageous in presenting his own opinions on strategic and commercial matters.

14. That the Candidate is committed to serve the company as a member of the board of directors.

15. That the Candidate enjoys morals, integrity, honesty and credibility.

16. That the Candidate has not been convicted of a crime against honor and honesty.

17. That a decision by the Capital Market Authority has not been issued against the Candidate.

18. That the Candidate is compliant with all articles and items related to membership in the board of directors of joint stock companies mentioned in the Companies Law and the regulations of the Capital Market Authority.

19. It is not permissible (except with the prior written approval of the competent authorities) for a Candidate to nominate for membership in the board of directors whoever has occupied the same position in a liquidated company or has been isolated in another company.

20. That the Candidate has to agree to conduct a personal interview with the Company’s Nomination and Remuneration Committee, if requested.

21. Voting in the general assembly that will be determined later will be restricted to those who nominated themselves for membership in the board in accordance with rules and regulations, and to those approved by the competent authorities.Attached Documents
