Nomination to the Board of Directors shall be conducted in accordance with the provisions stipulated in the Companies Law, the Corporate Governance Regulations issued by the Capital Market Authority (CMA), as well as the Company’s Bylaws and the Board Membership Policy, Standards and Procedures approved by the General Assembly (Attached).
Second: Nomination Requirements:
1- Submission of a letter expressing the candidate’s intention to apply for nomination to the Board of Directors membership (attached), supported by a CV, academic qualifications, and professional experience, in both Arabic and English.
2- Submission of Form No. (1) Resume, in both Arabic and English (attached).
3- Submission of a signed copy of Form No. (3) issued by the Capital Market Authority for nomination to the Board of Directors membership (attached).
4- Submission of a copy of the National ID / Family Card (if applicable), or passport for non-Saudi nationals, in addition to any other documents required by the Company to comply with the requirements of the relevant regulatory authorities.
5- Submission of a separate statement detailing the candidate’s significant achievements and major contributions in previous board memberships or in senior executive and administrative positions held over the past ten (10) years, as well as the current position.
6- The candidate shall provide a certified Arabic translation of any documents or records submitted in a foreign language.
