Saudi Telecom Company (stc) invites its shareholders to attend the Ordinary General Assembly Meeting (First Meeting) by Means of Modern Technology.

Introduction Saudi Telecom Company-stc-(the company) Board of Directors is honored to invite its shareholders to attend the Ordinary General Assembly's meeting of the company, which will be conducted virtually via Tadawulaty Platform, for the safety of the shareholders of the company and to support the preventive and precautionary efforts and measures exerted by the competent and relevant health authorities to address the emerging Corona virus pandemic (COVID-19), and as an extension of the continuous efforts exerted by all government agencies in the Kingdom of Saudi Arabia to take the necessary preventive measures to prevent its spread.

Attendance Eligibility Shareholders Registered in the Company’s Shareholders Registry in the Depository Centre At the End of the Trading Session Preceding the General Assembly’s Meeting as per Laws and Regulations.
Quorum for Convening the General Assembly's Meeting As per Article No. (31) of stc Articles of Association, “a meeting of the Ordinary General Assembly shall be valid only if attended by Shareholders representing at least half (50%) of the share Capital. If such quorum cannot be attained at the first meeting, a second meeting shall be held within an hour following the time set for the first meeting”. In all cases, the second meeting shall be valid regardless of the number of the shares represented therein.
General Assembly Meeting Agenda 1. Voting on appointing the auditor for the Company from the selected candidates based on the Audit Committee's recommendation. The appointed auditor shall examine, review and audit the (second and third) quarters and annual financial statements of the fiscal year 2022, and the first quarter of the fiscal year 2023. In addition to, the determination of the auditor's remuneration.

2. Voting on amending the Audit Committee Charter (attached).

3. Voting on business and contracts between stc and Wala’a Cooperative Insurance Co. (Walaa); in which Mr. Jameel A. Al-Mulhem, has an indirect interest being a Member of the Boards of Directors of stc and Walaa. The disclosed indirect interest is regarding the agreement with Walaa, which includes signing a supplementary contract to provide stc with insurance coverage for six years starting from 10-12-2021 for an amount of SAR 19.3 million. The signed supplementary contract was part of the ordinary businesses that have offered no preferential advantages (attached). Proxy Form E-Vote All shareholders registered in Tadawulaty service will be able to vote electronically on the Ordinary General Assembly’s agenda. Electronic voting will start Thursday at 10:00AM on 17-2-2022 corresponding to16-7-1443 and will last until the end of the Ordinary General assembly time.
