4- Approval of the appointment of the Company’s auditors from among the nominated candidates based on the Audit Committee's recommendation. The appointed auditors shall examine, review and audit the second and third quarters and annual financial statements of the fiscal year 2026, and the first quarter of the fiscal year 2027, and the determination of the auditor's remuneration as follow:
a. El Sayed El Ayouti & Co. – Certified Public Accountants, for an amount of SR (544,500) (including travel expenses, excluding VAT).
b. PKF Al Bassam Chartered Accountants, for an amount of SR (592,500) (excluding VAT).
5- Approval on releasing the Board of Directors Members from their liability for the fiscal year ending on 31/12/2025G.
6- Approval for the election of the Board of Directors members from among the candidates for the upcoming term, which commences on the date of the Ordinary General Assembly meeting on 20/05/2026G for a duration of four years, expiring on 19/05/2030G, where the following members were elected:

7- Approval of delegating the elected Board of Directors the authorization powers of the General Assembly stipulated in paragraph (1) of Article 27 of the Companies Law, for a period of one year starting from the date of the approval by the General Assembly or until the end of the delegated Board of Directors’ term, whichever is earlier, in accordance with the conditions outlined in the Implementing Regulation of the Companies Law for Listed Joint Stock Companies.
