Für den Inhalt der Mitteilung ist allein der Emittent verantwortlich. —————————————————————————— DEWB-Aktionäre erhalten bevorrechtigte Zuteilung beim Börsengang der Müller – Die lila Logistik AG Fortsetzung des Programms Aktien-An-Aktionäre (AAA) Für fünf DEWB-Aktien kann eine Aktie der Müller – Die lila Logistik gezeichnet werden. Beim aktuellen Börsengang der Müller – Die lila Logistik erhalten die Aktionäre der DEWB wiederum die Möglichkeit, Aktien des Börsenkandidaten über das AAA-Programm (Aktien-An-Aktionäre – sprich Triple A) der DEWB zu erwerben. Die Aktionäre können für jeweils fünf gehaltene DEWB-Aktien eine Aktie der Müller – Die lila Logistik AG zum Emissionspreis erwerben. Die bevorrechtigte Zuteilung setzt die Einbuchung der entsprechenden Zahl von DEWB-Aktien bei der Depotbank zum Stichtag 23. März 2001 voraus. Für einen Teil- oder Restbestand von weniger als fünf DEWB-Aktien ist der Erwerb nicht möglich. Um langfristig orientierte Aktionäre für die Müller – Die lila Logistik zu gewinnen, werden die Wertpapiere aus dem AAA-Programm für einen Zeitraum von sechs Monaten ab dem Datum der Erstnotierung gesperrt und mit einer eigenen WKN (515 618) versehen. Die Aufnahme des Handels dieser Aktien ist nach Ablauf der sechs Monate für den 05. Oktober 2001 vorgesehen. Die Preisspanne wird am 27. März bekannt gegeben. Entsprechende Kaufaufträge können die DEWB-Aktionäre bei ihren Depotbanken voraussichtlich vom 28. März bis zum 3. April einreichen. Der Emissionspreis wird mittels Bookbuilding-Verfahren festgelegt. Die Erstnotierung der Müller – Die lila Logistik AG am Neuen Markt der Frankfurter Wertpapierbörse soll am 5. April 2001 erfolgen. Continuation of the shares-to-shareholders (AAA) program of Deutsche Effecten und Wechsel-Beteiligungsgesellschaft (DEWB). For each five DEWB shares held shareholders can subscribe to one Müller – Die lila Logistik share. The current stock market flotation of Müller – Die lila Logistik AG gives DEWB shareholders another opportunity to acquire shares in the flotation candidate via the AAA program (shares-to-shareholders – or Triple A). For each five DEWB shares held the shareholders can purchase one share in Müller – Die lila Logistik AG at the issue price. The preferential allocation requires that the corresponding number of DEWB shares are deposited with the depository bank by the qualifying date of March 23, 2001 – evening. Shares cannot be purchased for a partial or residual portfolio of less than five DEWB shares. In order for Müller – Die lila Logistik to attract shareholders who take the long term view, a lock up is placed on the sale of equities from the AAA program for a period of six months from the first listing date of the securities and they are given their own security code number (515 618). Trading in these shares is expected to commence six months later, on the October 5, 2001. The price spread will be announced on the March 27. It is anticipated that DEWB shareholders will be able to submit corresponding buy orders to their depository banks from March 28 to April 3, 12.00 hrs. The issue price will be determined using the book-building method and announced on the March 27. It is intended that trading in Müller – Die lila Logistik shares will start on the April 5. DEWB AG is continuing to expand its attractive investment portfolio in young companies in the telecommunications/IT, biotechnology and opto- electronics growth sectors. It is also intended to apply the AAA program to future flotations of these holding companies.
