IntraWare AG and bäurer AG set for strategic alliance in CRM
Petersberg, 21 May 2002 – IntraWare AG, the provider of CRM software solutions
for small to medium-sized companies plans a strategic alliance in Customer
Relationship Management with bäurer AG, the provider of ERP solutions for the
same sector. The joint memorandum of understanding contains the acquisition of
TPS Labs GmbH, the bäurer subsidiary, by IntraWare AG. Due diligence processes
have already been commenced. The purchase would predominantly involve a transfer
of IntraWare shares to bäurer AG corresponding to the value of the subsidiary.
The enterprise resulting from the inclusion of TPS Labs, producer of eCRM
software solutions based on Microsoft, would give IntraWare AG – apart from
Microsoft competence – an extended market presence by the alignment of TPS Labs
to the group environment. bäurer AG would also play an important part in the new
constellation. bäurer customers could supplement ERP solutions by compatible
IntraWare solutions for Customer Relationship Management. The associated
companies would concentrate on CRM solutions on basis of Microsoft and IBM
technology for small to medium-sized companies and large accounts.
Another IntraWare AG goal against the background of the forecasted operative
profitability is less dependence on Asian business since sales expectations are
very difficult to materialise despite a good entrance in this market. Expecting
a weaker 2nd quarter due to the present level of business activity IntraWare AG
forecasts as an individual company sales of 5.7 million Euro on basis of careful
planning. Since cost reducing measures were taken during the current business
year the goal of operative profitability for the 3rd quarter 2002 is still
considered to be achievable.
Concluding sales of about 1.6 million Euro and reaching an EBIT of minus 0.8
million Euro in the consolidated financial statements for the 1st quarter 2002 a
rise of sales per staff member of about 13 % and an EBIT improvement of about
63 % was achieved as compared with the previous year.
