The issuer is solely responsible for the content of this announcement. ——————————————————————————– IntraWare AG – significant participation in global words AG Petersberg, 23 July 2002 – IntraWare AG, provider of CRM software solutions, has resolved to participate via a stock exchange in global words AG, provider of automated translation solutions. Through an increase in capital stock of 1.5 million euros from approved capital against subject investment the company will increase its number of shares to 5,628,170 subject to recording in the commercial registry. The increase in capital stock will be with subscription right exclusion for the shareholders. In exchange, IntraWare AG will receive one million shares of global words AG or 36.7% of 2,725,000 euros, the current amount of capital stock of global words AG. On behalf of the company and its investors, this action will secure access to the technologies of global words AG with which a joint-venture was recently concluded. This will continue the goal of IntraWare AG to establish a unique position in the market for its products. This participation will further deepen the joint-venture between the companies. The stock exchange will also establish LVM, stockholder of global words AG, as a significant stockholder of IntraWare AG with a participation of 18.66%.
