The issuer is solely responsible for the content of this announcement. ——————————————————————————– GlobalWare AG – take over of DILUCEO GmbH Eisenach, May 20, 2003 – GlobalWare AG, provider of technologies for all aspects of mono- and multilingual information, particularly for Customer Relationship Management (CRM) and Human Language Technology (HLT) and DILUCEO GmbH, München have reached an agreement in the take over of DILUCEO GmbH by GlobalWare AG. Following the conclusion of the test and evaluation processes the acquisition of DILUCEO which operates successfully through the sale of licences and supply of services, was resolved. The take over will be carried out mainly by a transfer of GlobalWare shares to the owners of DILUCEO GmbH. The company will increase the number of individual shares by 750,000 to 9,821,747 shares via a capital raise of 0.75 million Euros from authorized capital against subject investment subject to the recordation of the capital raise in the Commercial Register. A portion of the purchase price will be financed from the positive cashflow of DILUCEO GmbH. GlobalWare AG gains direct access, via the new subsidiary DILUCEO GmbH, to its current customer base – in particular in the area of administration, public authorities and organizations in Germany, Europe and USA – which offers a formidable potential for the integration of GlobalWare AG’s language technologies into existing structures and therefore market penetration of the public sector. In this context, GlobalWare AG will take charge of DILUCEO projects in the short term. GlobalWare AG continues to focus on its strategy and rounds out its portfolio with this acquisition. The Supervisory Board resolved on May 16, 2003 to appoint Michael Brandt, CEO of DILUCEO GmbH, born 1961, Chief Information Officer of the Managing Board for the areas of technology and projects effective on June 1, 2003.
