The issuer is solely responsible for the content of this announcement. —————————————————————————— GlobalWare AG: Mergers of GAP AG für GSM Applikationen und Produkte and of GROUP Technologies AG into GlobalWare AG completed Eisenach, 31 March 2006 – The mergers of GAP AG für GSM Applikationen und Produkte and der GROUP Technologies AG, each as the transferring company, into GlobalWare AG, the accepting company, was registered today in the competent commercial registry for GlobalWare AG in the county court of Jena. The mergers are therefore valid and are effective as of 01 July 2005 (effective date of merger). The capital stock of GlobalWare AG was increased by 12.162.568,00 Euro to a total of 21.234.315,00 Euro for the execution of the merger. The 12.162.568 new shares of GlobalWare AG having a calculated value of 1,00 Euro for each share will be held in trust by a trustee appointed by GAP AG für GSM Applikationen und Produkte and GROUP Technologies AG until their distribution to shareholders authorized for the exchange. Those shares of GAP AG für GSM Applikationen und Produkte and of GROUP Technologies AG admitted for trading will continue to be traded as conversion claims (Umtauschanspruch) having the same ISIN/WKN number until their exchange into shares of GlobalWare AG admitted for trading. The company will announce the time of exchange in a separate message. As resolved at the GlobalWare AG general meeting held on 21 December 2005, in future the company will operate under the name of GROUP Technologies AG. The application for the registration of the change of company name into the company register has already been submitted. The company will announce the registration of the change of the company name.
