Mühlbauer converts capital as prerequisite for free float increase
Mühlbauer Holding AG & Co. KGaA of Roding (SCN 662 720), which is listed on the
Neuer Markt, will implement a further capital increase with a total volume of
EUR 2,560,000, based on the authorization granted by the annual shareholder’s
meeting of June 7, 2001. With a nominal value per share of EUR 1.28, this
increase of 2,000,000 shares will raise the total from 4,279,200 to 6,279,200
no-par-value shares in bearer form. The capital increase will take place as a
conversion of part of the active general partner’s complementary capital into
capital stock, making use of the capital provided and approved for this purpose.
The new shares will be listed in 2002.
In connection with the capital increase, the worldwide market leader for chip
card and Smart Label technology intends to raise the current free float of 20.3
percent, in order to further increase the liquidity and the market value of the
Mühlbauer Group in the interest of both the company and the shareholders. The
conversion will enable the growth of the floating share capital, currently just
below 30 percent of the total capital, to as much as 42.7 percent.
This will also enhance Mühlbauer’s prospects of becoming qualified as a serious
candidate for listing of the company’s shares in the NEMAX 50. Enterprises
included in this share index, which is compiled and published by the Deutsche
Börse AG, generally receive more attention among investors than other companies
whose shares are also traded on the Neuer Markt.
