Für den Inhalt der Mitteilung ist der Emittent verantwortlich. —————————————————————————— plenum AG: Aktiensplit / Share Split Aktiensplit 1:4 zum 1. September 1999 Mit Wirkung zum 1. September 1999 vollzieht die plenum AG den angekündigten Aktiensplit im Verhältnis 1:4. Jede Stückaktie mit einem rechnerischen Anteil am Grundkapital von DEM 5,00 wird durch diese Maßnahme durch vier Stückaktien mit einem rechnerischen Anteil am Grundkapital von EUR 1,00 ersetzt. Die Notierung der Aktie ändert sich entsprechend. Dem Aktiensplit ging eine von der Hauptversammlung der plenum AG im Mai genehmigte und am 10. August 1999 in das Handelsregister eingetragene Kapitalerhöhung aus Gesellschaftsmitteln um EUR 2.391.544,02 voraus. Nach der Umstellung auf Euro erhöhte sich das Grundkapital der Gesellschaft damit auf EUR 6.626.884,00 (vorher: DEM 8.283.605,00). Das Grundkapital der plenum AG setzt sich somit aus 6.626.884 Stückaktien mit einem rechnerischen Anteil am Grundkapital von EUR 1,00 (vorher: 1.656.721 Stückaktien mit einem rechnerischen Anteil am Grundkapital von DEM 5,00) zusammen. Die Umstellung wird durch die Depotbanken vorgenommen und ist für die Aktionäre kostenfrei. Von den Aktionären ist nichts zu veranlassen. ++++++++++++++++++++++++++++++++++++++++++++++++++++++++++++++++++++++++++++++++ 1:4 share split on 1 September 1999 plenum AG will perform its previously announced 1:4 share split with effect from 1 September 1999. Each no-par value share with a proportional interest in the share capital of DEM 5.00 will thus be converted into four no-par value shares with a proportional interest in the share capital of EUR 1.00. The quotation will be modified accordingly. The share split was preceded by a capital increase of EUR 2,391,544.02 from the company’s reserves approved by the General Meeting of plenum AG in May and recorded in the commercial register on 10 August 1999. This increased the company’s share capital to EUR 6,626,884.00 (formerly DEM 8,283,605.00) following the conversion to the Euro. plenum AG’s share capital is therefore composed of 6,626,884 no-par value shares with a proportional interest in the share capital of EUR 1.00 (formerly 1,656,721 no-par value shares with a proportional interest in the share capital of DEM 5.00). The conversion will be performed by the custodian banks for shareholders free of charge. No action by shareholders is required.
