Oktober 2000 – Nach der erfolgreichen Akquisition von POLAR hat der Aufsichtsrat die vom Vorstand der am Neuen Markt notierten SHS Informationssysteme AG deutlich erhöhten Planzahlen für den Konzern in den Geschäftsjahren 2000 und 2001 bestätigt. SHS hatte die unternehmerische Kontrolle über das spanische Unternehmen am 1.7.2000 übernommen, die Kaufverträge sehen außerdem die rückwirkende Übernahme des gesamten Jahresergebnisses der POLAR vor. In der vorliegenden Als-ob-Planung für das Jahr 2000 wird – wie bei den Analysten üblich – die Tochtergesellschaft mit Wirkung vom 1.1.2000 voll konsolidiert; diese Werte übersteigen daher die geprüften Jahresergebnisse nach IAS. Der Planumsatz des Konzerns für 2000 beträgt nunmehr 29 Mio. EUR (ursprüngliche Planung: 16 Mio. EUR). Im Jahre 2001 wird der Konzern in seiner heutigen Struktur insgesamt 37 Mio EUR (ursprüngliche Planung: 32 Mio. EUR) umsetzen. Damit wird SHS schon in 2000 die ursprünglich erst für 2001 geplante Umsatzgrößenordnung erreichen. Auf der Ergebnisseite wird SHS weiterhin sehr profitabel bleiben: Das Als-Ob-EBIT des Konzerns für 2000 wird mit 3,5 Mio. EUR geplant. Das entspricht einer guten EBIT-Marge von über 12%. Aufgrund der Goodwill-Abschreibungen für die akquirierten Unternehmen und der Integrationsaufwendungen ist diese Marge geringer als vor der Akquisition. Für 2000 wird ein EBITDA von 4,8 Mio. EUR geplant, was einer Marge von 16% entspricht. Das EBITDA in 2001 wird in der Größenordnung 6 Mio. EUR liegen (ebenfalls 16% Marge). In den Folgejahren ist eine weitere Steigerung der EBIT-Marge geplant. Der bereits angekündigte Wechsel des ehemaligen Vorstandsvorsitzenden Karl-Peter Schmid in das International Integration Committee wurde in der gestrigen Aufsichtsratssitzung der SHS Informationssysteme bestätigt. Der bisherige stellvertretende Vorstandsvorsitzende Dr. Stefan Möller wurde zum neuen Vorstandsvorsitzenden berufen. —————————————————————— Munich, 25. October 2000 – The Supervisory Board of SHS Informationssysteme AG, listed on the Neuer Markt, has confirmed the own projected figures for the Group in the fiscal years 2000 and 2001. These figures have been clearly increased due to the successful acquisition of the Spanish POLAR Group. SHS had taken over corporate control of the Spanish company on 1.7.2000. Furthermore, the contracts of sale provide for the retroactive take over of POLAR’s total year result. In the As-If-planning for the year 2000 the subsidiary is fully consolidated with effect from 1.1.2000 – as usual for the analysts; these figures are higher than the audited figures according to IAS. The sales projections of the Group for 2000 are now EUR 29 mill. (original projection: EUR 16 mill.). In the current structure the Group is going to have a total turnover of EUR 37 mill. in 2001 (original projection: EUR 32 mill.). Thus SHS will already achieve the dimensions originally projected for 2001 in 2000. On the result side SHS will continue to be very profitable: The As-If-EBIT of the Group is projected at EUR 3.5 mill. for 2000. This corresponds to a good EBIT margin of above 12%. This margin is lower than before acquisition as a result of the goodwill amortisation and the integration expenses for the acquired companies – the planned EBITDA for 2000 is now EUR 4.8 mill., which results to a margin of 16%. The EBITDA in 2001 will be in the dimension EUR 6 mill. (16% margin). In the following years also the EBIT-margin will be further increased. The already announced change of Karl-Peter Schmid, former Chairman of the board, into the International Integration Committee was confirmed by the yesterday meeting of Supervisory board of SHS Informationssysteme AG. Former deputy CEO Dr. Stefan Möller was elected as the new Chairman of the Board.
