Commencementof consultation procedure on downsizing at Helios S.A.TheManagement Board of Agora S.A. hereby informs that on November 14th,2022, the Management Board of Helios S.A.(_quot;Company_quot;), subsidiary ofAgora S.A., in accordance with the Act of March 13th, 2003 on SpecialRules for Termination of Employment for Reasons Not Attributableto_#160;Employees, resolved to_#160;commence the consultation on group layoffswith the representatives of the Company's employees.Thereason for the planned group layoffs is the current economic andfinancial situation of the Company which has recently been gravelyaffected by i.a.: lower than the pre-pandemic frequency in Polishcinemas, energy price increase, minimum wage and minimum rate increase,EUR rate increase, other doing business costs increase, and commencementof repayment of loans taken out in connection with tackling Covid-19effects and doubling of this debt service cost.Theintention of the Management Board of Helios S.A. is to_#160;lay off up to_#160;80employees of the Company (which is ca. 20% of employees of the Companyas of November 14th, 2022) between November 22nd and 21st December, 2022.TheCompany shall go through these difficult changes in a_#160;thought out mannerand with care for its employees, offering the dismissed employeesa_#160;range of protective and supportive initiatives.OnNovember 14th, 2022 the Management Board of the Company shall requestthe representatives of the Company's employees to_#160;join in theconsultation on collective redundancy process and shall provide therelevant Labor Office with information on the intention to_#160;execute grouplayoffs in the Company.AgoraS.A. shall publish a_#160;consecutive regulatory filing on collectiveredundancies after the process of consultation with representatives ofthe Company's employees is finalized.
