TheManagement Board of Agora SA with its registered seat in Warsaw("Company") in connection with the regulatory filing No. 15/2024 of May24, 2024, hereby informs about adoption on February 28, 2025 of theresolution on recommendation to the Extraordinary General Meeting ofShareholders to cover the net loss for the fiscal year 2023 in theremaining uncovered by the resolution No. 7 of the AnnualGeneral Meeting of Shareholders held on June 28, 2024, part in theamount of PLN 10,683,837.95 in full from the Company's supplementarycapital. The recommendation of the Company's Management Board received apositive opinion of the Supervisory Board of the Company.

Thefinal decision on covering theCompany's loss in the remaining uncovered part will be made by theGeneral Meeting of Shareholders.
