The ManagementBoard of Agora S.A. with its registered office in Warsaw (the "Company")hereby informs that on 29 June 2026 the General Meeting of Shareholdersof the Company (the "GMS") appointed the following persons to theCompany's Supervisory Board:

for a jointthree-year term of office commencing on the day following the date ofthe General Meeting.

Additionally, theManagement Board informs that the GMS appointed Mr Andrzej Szlęzak asChairman of the Company's Supervisory Board.

The currentcomposition of the Company's Supervisory Board is as follows:Chairmanof the Supervisory Board - Andrzej Szlęzak, and members: WandaRapaczyński, Tomasz Sielicki, Dariusz Formela, Jacek Levernes, SebastianBuczek, Sławomir Sikora.

Jacek Levernes

Jacek Levernes isa senior executive with +25 years of leadership experience workingacross CEE, Europe and globally. His specialties include businessdevelopment, shared services, operations and outsourcing, digitaltransformation, investment growth, as well as strategy and publicaffairs.

Currently, JacekLevernes is a Senior Advisor at the Boston Consulting Group, Chairman ofthe Supervisory Board of ICTSI Poland and Non-Executive Director atSkanska Commercial Development Europe.

Jacek Levernes hasstudied and worked in Norway, Poland, Spain, Belgium, Switzerland,Singapore and the US.

Dariusz Formela

Since 1 September2018 Board Member of Black Red White S.A., and since 1 December 2018President of the Management Board of the company. In the years2012-2018, the president of GOBARTO S.A. (formely PKM DUDA S.A.)responsible for development and implementation of the company'sstrategy. In the years 2009-2012, he was a member of the board of PKMDUDA and CEO of CM Makton S.A. In the years 1998-2008, he worked for theORLEN Capital Group, where he was also a member of the Management Boardof PKN ORLEN and Mazeikiu Nafta responsible, i. a., for the oversight ofthe companies of the group and the integration of capital assets. He wasalso responsible for development and implementation of the restructuringplan in the ORLEN capital group. Currently, he is a member of theSupervisory Board of Forum TFI SA. Dariusz Formela is a graduate of theLaw and Administration Faculty at the University of Gdansk. He alsoobtained an MBA diploma from the University of Bradford and KozminskiUniversity.

WandaRapaczynski

Associated withAgora S.A. almost since its inception. In 1998-2007 and between 28 June2013 and 12 March 2014 served as the CEO of the Management Board. Underher leadership, Agora grew into one of the largest and most best knownmedia companies in Central and Eastern Europe. After resignation fromthe function of the Company's CEO she remained associated with Agora, asan advisor to the Supervisory Board until her appointment to thesupervisory body. Member of Supervisory Board of Agora in 2009-2019.

She representedAgora S.A. in the European Publishers Council and the PolishConfederation of Private Employers LEWIATAN, where she was a member ofthe main board and a member of the supervisory board of the PolishPrivate Media and Advertising Employers Confederation.In 1984-1992,she was the Head of New Product Development in Citibank NA in New York.Previously, for two years she was the director of a research project atthe Faculty of Psychology at Yale University, and in 1977-1979 researchfellow at Educational Testing Service in Princeton, New Jersey. Herprofessional career began as a psychology lecturer at universities inNew York and Connecticut.In years 2008-2018, she was a member of thesupervisory board of Adecco S.A., a Swiss company operatinginternationally, specialized in recruitment services, where she chairedthe Corporate Governance Committee.

For years she wasa member of the Council of the Central European University in Budapest,where she chaired its Audit Committee. She was also a member of theInternational Advisory Council at the Brookings Institution inWashington for many years. Since 2002 she is a member of Polish Group inthe Trilateral Commission.

In 1977 shereceived a Ph.D. in Psychology from City University of New York. Agraduate of Yale University, School of Organization and Management,where in 1984 she received a Master of Private _ Public Management.

Ph.D. Andrzej Szlęzak

Currently OfCounsel, previously a Partner at the law firm Sołtysiński, Kawecki _Szlęzak (SK_S). Andrzej Szlezak joined Soltysinski, Kawecki _ Szlezakshortly after its founding in 1991. In 1993 he became a partner, and in1996 a senior partner, a position he held until the end of 2015. In SK_She was engaged in legal services in a number of privatizations and therestructuring processes of various sectors of Polish industry andbanking. He supervised numerous mergers and acquisition projects,participated in greenfield projects, prepared a large number oftransaction documents, and was the author of numerous legal opinions inthe field of civil and commercial law. He is an arbitrator at theArbitration Court at the Polish Chamber of Commerce in Warsaw anda member of its Arbitration Council; he has also been repeatedlyappointed as an arbitrator in disputes conducted before internationalarbitration institutions (ICC in Paris, VIAC in Vienna, and PCA in TheHague).

Andrzej Szlezakreceived his master's degrees in Law and English Philology at the AdamMickiewicz University (AMU) in Poznan. From 1979 to 1981, he completedhis judicial training at the Provincial Court in Poznań. From 1979, hewas a researcher at the Institute of Civil Law at Adam MickiewiczUniversity, where he earned both his doctoral degree and habilitation incivil law. In 1994, he was appointed Professor at Adam MickiewiczUniversity, a position he held until leaving the Faculty of Law in 1996.Andrzej Szlęzak has been a fellow of numerous foreign academicinstitutions, including universities in Oxford and Michigan. Currently,Andrzej Szlęzak is a professor at SWPS University in Warsaw, where heserves as Head of the Department of Private Law. He is the author ofnumerous publications, including those in foreign languages, in thefield of civil and commercial law.

TomaszSielicki

He worked in theSygnity S.A. (formerly ComputerLand S.A.) since the company's inceptionin 1991. From 1992 to 2005, he served as the President of the ManagementBoard, later for two years he served as the President of the SygnityGroup (formerly ComputerLand Group). He is considered to be the founderof the company's success. Moreover, he is a member, among others, of theCouncil of the Information Society Development Foundation. Worldrunner-up in bridge and a bronze medalist at the Polish Senior ChessChampionships.Justification:

Ph.D. SebastianBuczekFounderand President of the Management Board of Quercus TFI S.A.

He holdsa university degree in economics and a habilitated doctorate in economicsciences; he is a graduate of the Warsaw School of Economics (SGH). From1997 to 2018, he was an academic at SGH, and from 2009 he held theposition of Associate Professor. From 1996 to 2007, he worked for theING Group in Poland. From 1996 to 2007, he worked at ING InvestmentManagement (Polska) S.A., where from June 2002 he served as VicePresident of the Management Board, and from April 2006 as President ofthe Management Board. From 1999 to 2007, he worked at ING TFI S.A.,where from October 1999 he served as a Member of the Management Board,from June 2002 as Vice President, and from April 2006 as President ofthe Management Board. Since August 2007, he has been the founder,leading shareholder, and President of the Management Board of QuercusTFI S.A. Since November 2021, he has been the Chairman of theSupervisory Board of DI Xelion sp. z o.o. He is an Honorary Citizen ofhis hometown, Jedlina-Zdrój, and an Ambassador of Wałbrzych.

Sławomir S.Sikora

Sławomir S. Sikorahas many years of experience in banking. From 2003 to June 2021, heserved as President of the Management Board of Bank Handlowy w WarszawieS.A. From 2005 to 2008, he was a member of the Citigroup ManagementCommittee in New York. Previously, from 2001 to 2003, he served asPresident of the Management Board of Bank Amerykański w Polsce S.A. From1994 to 2001, he worked at Powszechny Bank Kredytowy S.A. as Head ofCorporate and Investment Banking, holding the rank of Vice President ofthe Management Board. From 1989 to 1994, he held a number of seniorpositions at the Ministry of Finance (including Director of theDepartment of Banking and Financial Institutions). Sławomir S. Sikora isa graduate of the Warsaw School of Economics. In the past, he has held,among others, the following positions: Member of the Supervisory Boardof Agora S.A., Vice-Chairman of the Polish-American Chamber of Commerce,Member of the Advisory Council on Emerging Markets of the Institute ofInternational Finance (Washington), member of numerous supervisoryboards of banks and insurance companies, Member of the Economic AdvisoryCouncil to the President of Poland, Member of the Supervisory Board ofthe Royal Castle in Warsaw.

Members of theSupervisory Board appointed for the new term of office declared that:(i)they do not engage in any activity competitive with the Company;(ii)they are not partners in a civil law partnership, a partnership orcompany thatcompetes with the Company;(iii) they are not members of a governingbody of a company competing with the Company, nor of any other legalperson competing with the Company; and(iv) they are not entered inthe Register of Insolvent Debtors maintained pursuant to the Act of 20August 1997 on the National Court Register.
