Title: Granting power to certain directors to initiate theimplementation of the share buyback programme by Allegro.eu and/or theissuance of new shares by Allegro.eu within the framework of theauthorised share capital, to satisfy awards under employee incentive plan

Legal basis: Market Abuse Regulation (EU) No 596/2014 of 16 April 2014,Commission delegated regulation (EU) 2016/1052 of 8 March 2016,Luxembourg companies law dated 10 August 1915, as amended from time totime, and Luxembourg law dated 11 January 2008 on transparencyrequirements in relation to information about issuers whose securitiesare admitted to trading on a regulated market.

The Board of Directors of Allegro.eu (the _quot;Board_quot;) hereby informs aboutthe resolutions it has adopted on 14 November 2022 whereby the Boardresolved to grant power to any two of Darren Huston, Roy Perticucci,Carla Smits-Nusteling and Jonathan Eastick, acting jointly and with fullpower of substitution, to initiate (i) implementation of a share buybackprogramme in order to meet Allegro.eu's obligations arising under itsemployee incentive plan which was approved by the shareholders ofAllegro.eu on 20 September 2020 and adopted by the Board on 7 October2020 and to facilitate the allocation of shares to the employees ofAllegro.eu and the employees of its subsidiaries in accordance with itsemployee incentive plan (the _quot;Awards_quot;) and/or (ii) carry out an issuanceof new shares within the framework of the authorised share capital ofAllegro.eu, for the purpose of satisfying the Awards (the _quot;CapitalIncrease_quot;). A maximum number of shares to be acquired and/or issued is1,500,000.

The Board resolved to approve the implementation of a share buybackprogramme and/or the Capital Increase, whichever solution is in thereasonable joint opinion of any of two of Darren Huston, Roy Perticucci,Carla Smits-Nusteling, and Jonathan Eastick, is deemed necessary ordesirable in connection with the satisfaction of the Awards, aftertaking economic, legal, and financial parameters into considerationwithin the Company's best interest.
