Title: Allegro Pay sp. z o.o. signs a Term sheet with Aion Bank tolaunch services in the Bank-as-a-Service model

The Board of Directors of Allegro.eu (the "Board") hereby announces thaton 22 December 2022 Allegro Pay sp. z o.o. ("Allegro Pay") - a whollyowned subsidiary of Allegro.eu, signed a Term sheet agreed with AionBank SA / NV, a credit institution incorporated as a joint-stock company(soci_#233;t_#233; anonyme / naamloze vennootschap) under the laws of Belgium,with its registered office in Brussels, Belgium, acting through itsPolish branch trading under the name _quot;Aion Bank S.A. Spółka AkcyjnaOddział w Polsce'' with its registered office in Warsaw ("AION") andVodeno sp. z o.o., with its registered office in Warsaw ("Vodeno"), acompany belonging to the same capital group as AION, acting as AION'ssubcontractor and provider of certain IT technical solutions. The Termsheet establishes the general rules of future cooperation agreementbetween Allegro Pay, AION and Vodeno (the "Agreement") in the scope ofnew products based on the Banking-as-a-Service ("BaaS") model andintroduces changes to current cooperation with AION under theReceivables Purchase Agreement dated 11 October 2021 of which Allegro.euinformed in its current report No. 12/2021.

The BaaS model will enable Allegro Pay to launch new financial productsand services that are reserved for entities holding banking license(i.e. saving and payment accounts). Under the Term sheet the partiesagreed that Allegro Pay will act as AION's outsourcing service providerand deliver to AION all IT services required or necessary for onboardingof customers and the accounts management through Allegro's on-linetrading platform including mobile application. Cooperation with AION,acting as a BaaS provider and a banking licence holder, will facilitatecompliance with regulatory requirements.

The Term sheet is binding and includes the terms of cooperation, whichwill be detailed in the Agreement. Specifically, the Parties agreed thatthey will cooperate in good faith to further specify detailedfunctionalities of the services, technical specifications, commercialrequirements, operational, regulatory and legal arrangements that needto be put in place for the successful implementation of theircollaboration. The Term sheet provides that BaaS products will beoffered under Allegro Pay branding (white label). Processes and entirecustomer interactions will be embedded in Allegro's platform.

Allegro Pay and AION intend to conclude the Agreement until April 282023, about which Allegro.eu will inform in a separate current report.

The Board considers BaaS as an attractive way to enter the opportunitiesof providing banking products and services and establish a platform forfurther expansion of Allegro Pay.
