Title: Amendment of the Senior Facilities Agreement extending itsduration by two years to 14 October 2027

The Board of Directors of Allegro.eu (the "Board" and the "Company",respectively) hereby informs that on 6 November 2023 Allegro TreasuryS._#224; r.l. (the _quot;Credit Facility Borrower_quot;) signed and executed anextension of the maturity date to all credit facilities under the SeniorFacilities Agreement ("SFA") (see the current report No. 10/2020) inrespect to a total principal amount of PLN 7,257,500,000 by 24 months to14 October 2027 ("Extended SFA"), and concurrently made earlyprepayment/reduction in the amount of PLN 242,500,000.

Originally, the facilities under SFA were scheduled to mature in October2025.

The Extended SFA includes the following financing agreements:

(i) a PLN 5,257,500,000 senior secured term loan facility (the _quot;TermLoan B_quot;),

(ii) a PLN 500,000,000 multi-currency revolving credit facility ("RCF_quot;),

(iii) a PLN 1,000,000,000 Additional Facility (see the current reportNo. 20/2021, No. 24/2022, No. 35/2022 and

(iv) a PLN 500,000,000 Additional RCF (see the current report No.7/2022).

Following these changes, as at the date of this Current Report, theTotal debt outstanding under the Extended SFA amounts to PLN6,502,500,000 and is comprised as follows:

(i) Term Loan B: PLN 5,257,500,000,

(ii) RCF: PLN 245,000,000,

(iii) Additional Facility: PLN 1,000,000,000.

The Credit Facility Borrower signed the Extended SFA with the followinglenders: Santander Bank Polska S.A., Powszechna Kasa Oszczędności BankPolski S.A., Bank Polska Kasa Opieki S.A., Powszechny Zakład UbezpieczeńS.A., Powszechny Zakład Ubezpieczeń na Życie S.A., PZU FunduszInwestycyjny Zamknięty Aktywów Niepublicznych BIS 1, PZU FunduszInwestycyjny Zamknięty Aktywów Niepublicznych BIS 2, Erste Group BankAG, Credit Agricole Bank Polska S.A., mBank S.A., Industrial andCommercial Bank of China (Europe) S.A. Oddział w Polsce, Bank of China(Europe) S.A. Spółka Akcyjna Oddział w Polsce, Bank GospodarstwaKrajowego, Raiffeisen Bank International AG, BNP Paribas Bank PolskaS.A., Bank Handlowy w Warszawie S.A., Bank Millennium S.A., Bank ofAmerica Merrill Lynch International Designated Activity Company, MorganStanley Bank International Limited, Goldman Sachs Bank USA, BarclaysBank PLC.

The rationale for the extension of the maturity is to ensure ampleliquidity at favourable conditions for general corporate purposes toenable the Company to focus on driving future growth.

All other conditions of the SFA remain unchanged.
