Conclusion of a real estate sale agreement for aproperty located in Wrocław by a subsidiary of Archicom S.A.
The Management Board of Archicom S.A. (theIssuer)hereby announces that on 23 June 2025, the Issuer's subsidiary, namelyArchicom Nieruchomości 14 spółka z ograniczoną odpowiedzialnością withits registered office in Wrocław, as the seller (theSeller),and a Polish private investor, as the purchaser (thePurchaser,whereby the Purchaser and the Seller are hereinafter jointly referred toas theParties), entered into a real estate sale agreementconcerning a property located in Wrocław owned by the Seller developedwith a building known as City 2 (theAgreement).
Subject of the Transaction
Pursuant to the Agreement, the Purchaser acquiredfrom the Seller the property and other assets, including in particularthe ownership right to the property located in Wrocław at ul. Gen.Romualda Traugutta 55, constituting plot number 101, precinct 0022,registered in land and mortgage register number WR1K/00372300/1maintained by the District Court for Wrocław-Krzyki in Wrocław, 4th Landand Mortgage Register Division, developed with an office building named"City 2" (theBuilding), as well as all structures,installations, and other facilities serving the Building (theProperty).
Price
The price amounted to EUR 31,000,000 increased by theValue Added Tax. The price will be paid to the Seller fully immediatelyafter execution of the Agreement.
Other Information Regarding the Transaction
As part of the transaction, the Parties also enteredinto a rental guarantee agreement (theRental Guarantee Agreement).The main provisions of the Rental Guarantee Agreement provide for (i)the granting to the Purchaser of a guarantee by the Seller to cover rentpayments and operating charges for the vacant premises in the Buildingfor the guarantee period which, as a rule, is 5 years from theconclusion of the Agreement, and (ii) payment by the Seller to thePurchaser of an amount corresponding to the value of the tenantsincentives outstanding as of the day of the execution of the Agreement.
The provisions of the Agreement do not differ fromthose commonly applied in transactions of this type. The Agreementcontains standard provisions for such transactions regarding therepresentations and warranties of the seller and the purchaser, as wellas the liability of the Parties, and also includes provisions entrustingthe Seller with the performance of certainfit-out works in the premises of the Building.
