Preliminary agreement for the sale and delivery of Nissan Townstarpassenger cars

The Management Board of MBF Group SA with its registered office inWarsaw (the _#8216;Company', _#8216;Issuer') announces that on 15 November 2024 apreliminary agreement for the sale of 16 Nissan Townstar Combi 1.3 DIG-Tpassenger cars (the _#8216;Agreement') was concluded with a capital entitybased in Poznań, which owns a taxi corporation (the _#8216;Contracting Party').

The Agreement was concluded in connection with the Issuer negotiatingwith an authorised Nissan dealer a pool of 16 cars with the equipmentand price expected by the Contracting Party. The total estimated valueof the sale resulting from the target contract is approximately PLN1,737,000 net (one million seven hundred and thirty-seven thousandzlotys).

The signing of the final contract depends on a positive decision of thebank which is to provide the Contracting Party with financing in theform of leasing. The Issuer will inform about the conclusion of thefinal contract or any changes in its implementation in subsequentcurrent reports. The conclusion of the Contract is another step in theCompany's development on the automotive market, which is one of the keyelements of its business diversification strategy. The implementation ofthis contract will contribute to the further development of the Issuer'sportfolio.

The Issuer considered the publication of the information important dueto its potential final value and its impact on the future financial,property and economic situation of the Company.
