The Management Board of MBF Group SA with its registered office inWarsaw ('Company', 'Issuer'), with reference to ESPI Stock ExchangeReport 46/2024 of 11 December 2024 entitled 'Positive certification ofthe Issuer for access to the commodity exchange' and Exchange ReportESPI 47/2024 of 18 December 2024 entitled 'Obtaining access to thecommodity exchange and completion of the accreditation procedure by theIssuer', informs that the Exchange to which the Company has gainedaccess is the Belarusian Universal Commodity Exchange (Belarusian:óę ó , Russian: óęó ).
The Belarusian Universal Commodity Exchange (BUCE) is the largestcommodity exchange in Eastern Europe, enabling trade in agricultural andindustrial products, metals and other raw materials. BUCE was founded in2004 and has since become a key trading platform for companies fromEurope, Asia and the CIS countries. The exchange provides participantswith access to a wide base of suppliers and buyers, guaranteeingtransparency, security and efficiency of transactions.
The Company's Management Board emphasises that participation in exchangetrading on BUCE does not involve trading in commodity derivatives, butin actual spot deliveries of goods. This means that the transactionsconcluded on the Exchange lead to the physical delivery of the purchasedraw material within a relatively short period of time, in accordancewith the conditions established within the framework of the exchangesession. The Issuer is currently focusing on transactions inagricultural products, including refined and unrefined oils, but if theCompany's activities in this area are financially successful, it plansto expand its purchases to other categories available on the Exchange,such as metal products, wood products, industrial goods and consumergoods.
In addition, the Issuer's Management Board informs that originally, inpublished reports ESPI 46/2024 and 47/2024, it did not indicate the fullname of the Exchange because it was awaiting official consent for itsdisclosure by the BUCE management bodies. In the interest of compliancewith the rules of cooperation and business ethics, the Company tooksteps to obtain such consent, which was formally confirmed on 19February 2025.
Notwithstanding the above, the Warsaw Stock Exchange (GPW) asked theIssuer, under the supervisory procedure, about the lack of disclosure ofthe name of the Stock Exchange, which accelerated the Company's effortsto obtain consent to publish full data. In response to this enquiry andafter receiving the relevant consent, the Issuer immediately publishesthis report.
The Company pays particular attention to the fact that only products notcovered by sanctions may be traded in the European Union, which theCompany checks and monitors on an ongoing basis on official governmentwebsites, in the systems of the National Revenue Administration (KAS)and in applicable EU regulations. In the case of other destinations,local legislation and any restrictions are analysed.
The Issuer will inform about all significant transactions concludedthrough BUCE in subsequent current reports. The issuer considered itnecessary to publish information about the signed contract due to itspotential impact on the future financial, property and economicsituation of the Company.
