The Management Board of MBF Group S.A. with its registered office inWarsaw (the 'Issuer', 'Company') hereby announces that on 2 May 2025, itwas notified of the issuance by the District Court for Lublin-Zachód inLublin, 6th Civil Division, of a payment order in summary proceedingsdated 30 April 2025, in the case brought by MBF Group S.A. against L.L.Sp. z o.o. with its registered office in Gdańsk (data anonymised) (fileref. VI Nc-e 319284/25).Pursuant to the payment order, thedefendant was ordered to pay the Issuer the amount of PLN 193,723.92 (inwords: one hundred and ninety-three thousand seven hundred andtwenty-three zlotys and ninety-two groszy) together with statutoryinterest for delay from 28 September 2024 until the date of payment, andPLN 2,422.00 (in words: two thousand four hundred and twenty-two zlotysand zero groszy) as reimbursement of court costs, also with statutoryinterest from the date on which the order becomes final.The caseconcerns a disputed settlement and failure to refund EUR 46,800 (inwords: forty-six thousand eight hundred euros), converted to PLN193,723.92 according to the exchange rate of the National Bank of Polandon 26 February 2025, paid by the Issuer under an unfulfilled contract.Despite numerous requests and attempts to settle the dispute amicably,L.L. Sp. z o.o. has not returned the funds. In connection with theabove, on 27 February 2025, the Company referred the case to court.Inaccordance with the instructions contained in the payment order, thedefendant has the right to lodge an objection within 14 days of the dateof delivery of the order. If the Company receives information about theeffective lodging of an objection by the defendant, the Issuer willimmediately publish a separate current report.If the paymentorder becomes final and the defendant fails to voluntarily repay thedebt, the Issuer's Management Board will take immediate steps to obtaina court enforcement title and then refer the case to a bailiff forenforcement. The purpose of these actions will be to recover the amountsdue without delay in accordance with the final judgment.At thesame time, the Issuer's Management Board announces that its decision notto publish information about the filing of the lawsuit in February 2025was primarily motivated by the need to secure its position in theproceedings. Early publication of the report could: reveal the strategyfor pursuing claims against an unreliable contractor and influence theevidence-gathering process or increase the risk of actions hindering therecovery of the amounts due.In addition, it should be noted thatin connection with the suspicion of crimes committed to the detriment ofthe Issuer, on 27 February 2025, MBF Group S.A. filed a report with theDistrict Prosecutor's Office for Gdańsk-Śródmieście on the possibilityof crimes committed by members of the management board of L.L. Sp. zo.o. of offences under Article 286 §1 (fraud), Article 300 §1 and §2(obstruction of creditor satisfaction), Article 299 (money laundering)and Article 296 of the Criminal Code (acting to the detriment of thecompany). The prosecutor's office found that there were reasonablegrounds to suspect that a crime had been committed and initiated aninvestigation, which is currently being conducted under reference number4051-1.D.83.2025. The issuer remains the injured party and is activelycooperating with law enforcement authorities to protect its interests.TheIssuer informs that this matter is significant for the legal andfinancial interests of the Company. The Company will provide informationon the further course of the case and significant events in subsequentcurrent reports.
