Subject: Conclusion of a framework agreement on technologicalcooperation and confidentiality with ZXZ(HZ) Innovation Tech Co. Ltd.

The Management Board of MBF Group S.A. with its registered office inWarsaw ('Issuer', 'Company') hereby announces that on 30 July 2025 itconcluded a framework agreement on technological cooperation,confidentiality and non-disclosure of information (Framework Agreementon Technological Cooperation, Confidentiality and Non-Disclosure ofInformation) with ZXZ(HZ) Innovation Tech Co. Ltd., operating under thebrand name Spider-i UAV, with its registered office in Hangzhou,Zhejiang, China ('Agreement').

The Agreement provides for the commencement of cooperation between theparties in the development, testing and implementation of unmannedaerial vehicles (UAVs), counter-air threat systems (C-UAS), autonomousplatforms (air, land and water), software integration and dual-usetechnologies for the civil and military sectors.

In addition, the Issuer's Management Board announces that each partydeclares its readiness to enter into a consortium agreement, led by MBFGroup SA together with the Eugeniusz Kwiatkowski Polish IndustrialLobby, upon completion of the preparatory work. The agreement shallremain in force for a period of 3 months from the date of its signing oruntil the conclusion of the relevant consortium agreement (whicheveroccurs first). The parties have undertaken to maintain mutualconfidentiality, loyalty and not to interfere with their commercialrelations and contacts during the term of the cooperation.

The purpose of the agreement is to create the basis for a long-termtechnological and industrial partnership in the UAV/C-UAS sector, with aview to joint implementation of projects, production, integration anddeployment of unmanned systems and related technologies in the EuropeanUnion markets.

ZXZ(HZ) Innovation Tech Co. Ltd. is a renowned Chinese manufactureroperating under the Spider-i UAV brand, specialising in the research,development and production of drones since 2008. The company has over 16years of experience, selling over 17,000 drones to customers in 29countries. The engineering team consists of renowned scientists andspecialists from the aviation sector. The company offers comprehensiveOEM/ODM solutions, its own production lines with an area of over 10,000m and full technical and training support for partners around the world.

The conclusion of the aforementioned Agreement constitutes theimplementation of the Issuer's development strategy towards industrialand defence technologies and strengthens the Company's position as acompetence integrator in the modern unmanned systems sector. The Issuerwill announce further milestones towards the establishment of the finalconsortium and the commencement of operations in a current report onESPI.
