Subject: Conclusion of a framework cooperation agreement with AerobotAvionics Technologies Company, Ltd and consent to join a consortium
The Management Board of MBF Group SA with its registered office inWarsaw (hereinafter: 'Issuer', "Company") hereby announces that on 31July 2025 it concluded a framework agreement on technologicalcooperation and confidentiality ('Agreement') with Aerobot AvionicsTechnologies Company, Ltd with its registered office in Mumbai, India(address: Navpada, Airport Area, Vile Parle, Mumbai, Maharashtra 400099)a framework agreement on technological cooperation and confidentiality('Agreement').
The Issuer's Management Board announces that Aerobot AvionicsTechnologies Company, Ltd has expressed its full consent in theagreement to join the technology and industrial consortium being formed,which will be led by MBF Group SA and the Eugeniusz Kwiatkowski PolishIndustrial Lobby (PLP). The aim of the consortium is to carry out jointprojects in the new technologies sector, including the design andtesting of UAV/C-UAS platforms and the integration of solutions for theEuropean market.
Aerobot Avionics Technologies Company, Ltd (also operating under thetrade name AEROBOTT) is a renowned Indian manufacturer specialising inadvanced UAV technologies. The company has been operating on the marketfor many years, offering innovative unmanned aerial, ground andunderwater vehicles for various industries, including manufacturing,energy, logistics and defence. The company is known for its solutionsbased on 3D printing and composites, and its team consists ofexperienced engineers from the aviation sector.
In addition, the Management Board announces that the subject of theAgreement is to establish cooperation between MBF Group S.A. and AerobotAvionics Technologies Company, Ltd in the field of joint development,testing, implementation and potential commercialisation of innovativetechnological solutions in the area of modern unmanned systems andrelated technologies. In particular, the cooperation concerns UAV(unmanned aerial vehicle) platforms, counter-air threat systems (C-UAS),autonomous mobile units moving in air, land or water, as well asobservation, photogrammetric and sensor technologies used in civil andspecialised applications.
The parties have also declared their readiness to jointly integrateoperational solutions, software and infrastructure supportingoperational space management, while maintaining full protection of theinformation transferred and respecting the principles of loyalty andexclusivity. The document is the first stage of planned cooperation, theultimate goal of which is to sign a consortium agreement definingspecific roles, responsibilities and rules for further action within theframework of technological initiatives carried out under the auspices ofMBF Group S.A. and the Polish Industrial Lobby.
The consortium agreement will define the detailed scope ofresponsibilities and the division of benefits between the parties. MBFGroup SA and PLP will act as integrator and leader of this structure. Inorder to finalise the consortium agreement under the auspices of MBFGroup SA and PLP, at least one key partner from Poland, responsible forthe design and engineering component of the project, still needs to join.
The agreement is part of MBF Group SA's strategy to expand itsoperations into the high-tech sector, in particular unmanned systems anddual-use solutions. These activities are carried out with the expertknowledge of PLP and with the support of foreign manufacturers andintegrators. The issuer considers the signed agreement to be animportant step in building a competitive and technologically advancedplatform for international cooperation.
