The Management Board of MBF Group S.A. with its registered office inWarsaw (the "Issuer," "Company") hereby announces that on August 6,2025, it entered into a framework agreement with Shenzhen SMD UAV Co.,Ltd with its registered office in Shenzhen, China (address: 5th Floor,Building E, Hongwei Industrial Zone, Hongrong Yuan, Xin'an Street,Bao'an District, Shenzhen 518101) a framework agreement on technologicalcooperation, confidentiality and non-disclosure ("Agreement").

The parties confirmed their intention to cooperate in the development,testing and implementation of modern technological solutions in thefield of UAV (unmanned aerial vehicles), C-UAS (counter-air threatsystems), autonomous mobile platforms (air, land and water),photogrammetric, multispectral and sensor technologies, as well assoftware integration and operational space management systems.

The Issuer's Management Board announces that Shenzhen SMD UAV Co., Ltdhas agreed in the Agreement to join a technology and industrialconsortium to be established, led by MBF Group SA and the EugeniuszKwiatkowski Polish Industrial Lobby (PLP). The ultimate goal of thesigned Agreement is to conclude a consortium agreement defining theroles, responsibilities, and principles of further cooperation withinjoint projects.

Shenzhen SMD UAV Co., Ltd is a leading Chinese manufacturer ofindustrial UAV systems, established in 2014 and holding the status of acertified high-tech enterprise. The company specializes in theproduction of vertical take-off and landing (VTOL) drones, used, amongothers, in medical logistics, rescue, environmental protection, andpublic safety. The company is headquartered in Shenzhen.

Particularly noteworthy is the flagship product line based on tilt-rotortechnology, as well as proprietary flight control systems, groundoperating stations, and solutions designed for long-endurance missionswith high payloads. The company's president and founder is Jin Liang, anexperienced aviation expert formerly associated with Beijing Universityof Aeronautics and Astronautics and Shenzhen Research Institute ofBeihang Airlines.

The conclusion of this agreement is part of the Issuer's strategy toexpand into the high-tech sector and dual-use systems. The Issuerconsiders the signed Agreement to be an important step in building aninternational industrial and technological cooperation platform based onPLP's expertise and the global resources of its partners. The Companywill announce further steps related to the finalization of theconsortium structure and the commencement of operations in currentreports on the ESPI.
