The Management Board of MBF Group SA with its registered office inWarsaw (the 'Issuer', 'Company') hereby announces that on 12 August2025, it entered into a framework agreement with NW TEKNOLOJI VEDANIMANLIK LMTED RKET with its registered office in the Republicof Turkey (the 'Partner') a framework agreement on strategicpartnership, technological cooperation, confidentiality andnon-disclosure ('Agreement').
The subject of the Agreement is to establish close cooperation in theintegration of the NWF10 kamikaze drone technology developed by thePartner with weapons manufactured in Poland, as well as the Polishadaptation of the product through the development, testing,implementation and commercialisation of a Polish version of this system,referred to as the national kamikaze drone. The cooperation alsoincludes the development and implementation of solutions in the field ofunmanned aerial vehicle (UAV) systems, counter-unmanned aerial system(C-UAS) systems, autonomous mobile platforms, observation technologiesand sensors, and other dual-use solutions.
The parties also intend to conduct joint activities in the field ofcoordinating contacts and concluding agreements with Polish armsmanufacturers and defence sector institutions, while maintaining fullconfidentiality and protecting the interests of each party. Theagreement is a framework agreement and constitutes the first stage ofcooperation, which will result in the signing of a separate consortiumagreement or strategic partnership agreement with the participation ofthe Eugeniusz Kwiatkowski Polish Industrial Lobby as part of the COP 2Project. The possibility of establishing a joint venture in the futureto scale up production and sales is also being considered.
The partner is a Turkish developer and owner of the NWF10 technology,operating in the TBTAK science and technology zone, with an R_Dlicence and experience in the design, testing and implementation ofmodern weapon systems and their integration with components fromrenowned manufacturers.
The term of the Agreement is 12 months from the date of signing or untilthe conclusion of a consortium agreement (whichever occurs first). TheAgreement contains standard provisions regarding non-competition,non-circumvention, confidentiality and contractual penalties.
The Issuer's Management Board considers this information to beconfidential due to the significant importance of the project for thedevelopment of the Company's competences in the high-tech defence sectorand its potential impact on the Issuer's future revenues and marketvalue.
