Subject:Nomination of a candidate for the function of a Member of the Bank'sSupervisory Board

Legal basis:§ 19 section 1 point 4) of the Ordinance of the Minister of Financedated March 29, 2018 on current and periodic information published byissuers of securities and the conditions for regarding as equivalent theinformation required by the law of a non-member state (Official Journalof 2018, item 757)

Bank Handlowy wWarszawie S.A. ("the Bank") would like to inform that on June 10, 2022it received a nomination letter from the Bank's shareholder, CitibankOverseas Investment Corporation nominating Mr. Andras Reiniger as acandidate for member of the Bank's Supervisory Board, in connection withan item on the agenda of the Bank's Ordinary General ShareholdersMeeting convened for June 23, 2022, concerning appointment of the Bank'sSupervisory Board Members.

At the same timethe Bank hereby informs that Mr. Andras Reiniger has given his consentto stand as a candidate for the Bank's Supervisory Board.

The draftresolution of the Ordinary General Meeting on the appointment of amember of the Bank's Supervisory Board, as well as the Candidate'sprofessional CV received from the shareholder constitute an appendix tothis report. As per the information provided by the shareholder, theCandidate has education, qualifications and professional experience thatallow him to assume the function of the_#160;SupervisoryBoard member.

After thepreliminary assessment of the qualifications of the Candidate for amember of the Supervisory Board proposed by the shareholder, therelevant resolutions of the Nomination and Remuneration Committee of theSupervisory Board of Bank Handlowy w Warszawie S.A. will be published onthe Bank's website at:
