Subject:Notification of change in the holdings in the Bank's share capital andin the total number of votes made by entities from Citigroup of companies

Legalbasis:Article70(1) of the Act on Public Offering, Conditions Governing theIntroduction of Financial Instruments to Organized Trading, and PublicCompanies

TheManagement Board of Bank Handlowy w Warszawie S.A. ("Bank") herebydiscloses the notification received on 18 January 2023 from entitiesfrom Citigroup of companies under Article 69(1) of the Act on PublicOffering, Conditions Governing the Introduction of Financial Instrumentsto Organized Trading, and Public Companies ("Notification").

Inaccordance with the information provided in the Notification, a changewas made in the shareholding structure of the Bank as a result of theacquisition by the Bank of its own shares that took place on theregulated market of Warsaw Stock Exchange in the amount 2,386 sharesrepresenting (approx.) 0.001826% of the Company's share capital("Transaction").

TheTransaction was carried out on 12 January 2024 and settled on 16 January2024.

Asa result of the Transaction, the total shareholding controlledindirectly by entities from Citigroup of companies mentioned in theNotification increased and indirectly exceed the threshold of 75% of thetotal number of votes at the general meeting of shareholders of the Bank.

2,386ordinary bearer shares held directly by the Bank, representing 0.001826%of the Bank's share capital due the Transaction are the own shares andthese shares formally do not authorize Bank to any votes at the generalmeeting of shareholders of the Bank.Thetranslation of the Notification into Polish, prepared by the Bank, isattached to the Polish language version of this report.TheNotification in English received by the Bank is an attachment to theEnglish language version of this report.
