Re: Information on the proposed distribution ofnet profit for 2023

Legal basis:Art. 17of the Regulation (EU) No 596/2014 of the European Parliament and of theCouncil of 16 April 2014 on market abuse (MAR).

On May 7, 2024, the Management Board of Bank Handlowyw Warszawie S.A. ("Bank") adopted a resolution on the proposeddistribution of net profit for the year 2023.

The Management Board of the Bank recommended to theAnnual General Meeting in 2024 to distribute the profit for 2023 in theamount of PLN 2,255,190,345.46 as follows:

1)_#160;_#160;_#160;dividend: PLN1,450,321,560.00

2)_#160;_#160;_#160;reserve capital: PLN804,868,785.46

The Management Board of the Bank proposed to set thedividend date for June 27, 2024 (the dividend day) and the date ofdividend payment for July 4, 2024 (the dividend payment date).

The above proposal of dividend payment, representing64,31% of the net profit for 2023, is in line with the individualrecommendation of the Polish Financial Supervision Authority regardingthe Bank's compliance with the requirements for the payment of 75% ofthe dividend from net profit generated in 2023, which the Bank informedabout in the current report No. 6/2024 of February 23, 2024.

With reference to current report no. 27/2023regarding obtaining the permission from the Polish Financial SupervisionAuthority to buy-back own shares and the commencement of the buy-backprocess by the Bank, the final amount for dividend payment, and thus forthe reserve capital, will depend on the number of own shares held by theBank on the dividend date.

In line with current reports No. 17/2023 and 20/2023,the part of net profit of 2023 in the amount of PLN 800 million wasrecognized in the Bank's Tier 1 capital.

The recommendation of the Bank's Management Boardwill be submitted to the Supervisory Board for consideration andassessment, and then to the General Meeting for the purpose of adoptinga resolution. The final decision on the distribution of the net profitfor 2023 will be made by the Bank's General Meeting.
