SUBJECT: information on the draft resolution No. 32/2024 of the AnnualGeneral Meeting of Bank Millennium S.A. on the amendment of the Articlesof Association

The Management Board of Bank Millennium S.A. with its seat in Warsaw[the Bank], with reference to the draft resolution regarding amendmentof the Articles of Association No. 32/2024 of the Annual General Meetingof the Bank [AGM] convened for 27.03.2024 [the draft was published inthe Bank's current report No. 4/2024 of 29.02.2024], hereby publishesthe editorially corrected draft resolution No. 32/2024 [attachment tothis current report]. The editorial correction results from theexpectations of the Polish Financial Supervision Authority [PFSA][expressed in the course of the proceedings for the issuance of a permitfor amendments to the Articles of Association covered by theabove-mentioned draft] in terms of the manner of presenting the proposedamendments to the Articles of Association by supplementary indication ofdetailed deletions and additions to the Articles of Association and isaimed at maintaining consistency between the application to the PFSA,the wording of the possible permit of the PFSA and the shape of theresolution of the AGM under consideration.

The Management Board emphasizes that as a result of the additionaleditorial edition of the draft resolution, the substantive scope of theamendments to the Articles of Association covered by this draftresolution does not change in any way compared to the draft originallyannounced together with the current report no. 4/2024 of 29 Februarythis year.
