Subject: Succession plan for the position of Management Board Membersupervising material risk management

The Management Board of Bank Millennium S.A. [the Bank] announces thatMr. Wojciech Haase - Member of the Bank's Management Board supervisingmaterial risk management in the Bank's operations - has informed theBank that, in connection with his intention to retire, he plans toresign from his position as a Member of the Bank's Management Board in2026, at a time that will allow for a coordinated, stable, and smoothtransfer of responsibilities related to the supervision of material riskmanagement in the Bank's operations.

Mr. Wojciech Haase has served on the Management Board of Bank Millenniumsince 1997, playing a pivotal role in shaping the Bank's strategy,strengthening its risk culture, and supporting its long-term stability.Over nearly four decades, he has been a key leader within BankMillennium Group and has had a meaningful impact on the development ofthe Polish banking sector.

He will remain in full function during the necessary time in 2026, toensure a smooth transition and completion of all the necessary formalactions. During this period, Mr. Haase will actively support thehandover process to safeguard the continuity of the Bank's prudent androbust risk-management approach.

In this context, today the Bank's Supervisory Board, after reviewing therecommendation of the Supervisory Board's Personnel Committee, approvedMr. Marcin Dubno as a candidate for the position of Management BoardMember supervising material risk management in the Bank's operations andcarried out an initial suitability assessment, concluding that thecandidate individually possesses the knowledge, skills, and experienceappropriate for the entrusted role and, taking into account functionsperformed outside the Bank Millennium Group, provides assurance ofproper performance of duties associated with this position, and meetsother requirements set forth in the Banking Law and in the Guidelines ofthe European Banking Authority and the European Securities and MarketsAuthority.

Mr. Marcin Dubno graduated from the Warsaw School of Economics. He hasover 25 years of experience in banking and specializes in riskmanagement. He has held senior management positions in risk departmentsat several institutions.

Furthermore, pursuant to Article 22b[1] in conjunction with Article22a[4] of the Banking Law, the Supervisory Board resolved to apply tothe Polish Financial Supervision Authority for consent to appoint Mr.Marcin Dubno as a Member of the Bank's Management Board supervisingmaterial risk management in the Bank's operations.

The Bank informs that any events arising as a result of the abovecircumstances [resignation from the Management Board, appointment by theSupervisory Board to the Management Board] will be disclosed to thepublic in cases and to the extent required by law.
