UNOFFICIAL TRANSLATION16.05.2023 - Report 12/2023:Notification on the share of Powszechne Towarzystwo Emerytalne AllianzPolska Spółka Akcyjna in the share capital and the total number of votesin the Bank Polska Kasa Opieki Spółka AkcyjnaBankPolska Kasa Opieki Spółka Akcyjna (_quot;Bank_quot;) with reference to CurrentReport No. 1/2023, including a notification in the increase in the sharecapital and the total number of votes in the Bank Polska Kasa OpiekiSpółka Akcyjna by Powszechne Towarzystwo Emerytalne Allianz PolskaSpółka Akcyjna above 5%, hereby informs that on 16 May 2023 it receivedfrom Powszechne Towarzystwo Emerytalne Allianz Polska Spółka Akcyjna(_quot;PTE Allianz Polska S.A._quot;), the manager of Allianz Polska OtwartyFundusz Emerytalny (_quot;Allianz OFE_quot;) and the manager of Drugi AllianzPolska Otwarty Fundusz Emerytalny (_quot;Drugi Allianz OFE_quot;), a noticeinforming that pursuant to Article 69 section 1 item 1 of the Act of 28August 1997 on the organisation and operation of pension funds (i.e.Journal of Laws of 2022, item 2342, as amended) on 12 May 2023, as aresult of the liquidation of the Drugi Allianz OFE by way of thetransfer of its assets to Allianz OFE, the share in the total number ofvotes in the Bank on the accounts of Allianz OFE was above 5%.Priorto the liquidation of Drugi Allianz OFE, the total number of shares onthe accounts of Allianz OFE and Drugi Allianz OFE amounted to 15,500,051shares in the Bank, which together represented 5.91% of the Bank's sharecapital and gave the right to exercise 15,500,051 votes representing5.91% of the total number of votes at the Bank's Annual General Meeting("AGM").Following the liquidation of the DrugiAllianz OFE, 15,500,051 shares, representing 5.91% of the Bank's sharecapital, were credited to the account of Allianz OFE, giving the rightto exercise 15,500,051 votes from shares representing 5.91% of the totalnumber of votes at the Bank's AGM.At the same time PowszechneTowarzystwo Emerytalne Allianz Polska S.A., managing Allianz OFE,informs that:_#61607; has no subsidiaries holding shares in the Bank,_#61607;there is no situation described in Article 69 section 4 item 6 of theAct of 29 July 2005 on public offering and the conditions forintroducing financial instruments to the organised trading system and onpublic companies,_#61607; does not hold any financialinstruments referred to in Article 69b section 1 item 1) and 2) of ofthe Act of 29 July 2005 on public offering and the conditions forintroducing financial instruments to the organised trading system and onpublic companies.Legal basis: art. 70 item 1 of the Act of 29July 2005 on public offering and the conditions for introducingfinancial instruments to the organised trading system and on publiccompanies.
